WFW advises lenders on financing of Argentine onshore wind farm project

Watson Farley & Williams (“WFW”) has advised a consortium of lenders comprising DEG – Deutsche Investitions- und Entwicklungsgesellschaft mbH (DEG),  Kreditanstalt für Wiederaufbau (KfW) and Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V.(FMO), as well as KfW IPEX-Bank GmbH as facility agent, on the €167m financing of the Vientos Los Hércules onshore wind farm project in the southern Argentine province of Santa Cruz.

Allen & Overy advises M.M. Warburg & CO on the divestment of its asset management and servicing business in Luxembourg

Allen & Overy LLP has advised M.M. Warburg & CO (AG & Co.) KGaA, Hamburg (Warburg) on the sale of its subsidiaries Warburg Invest Luxembourg S.A. and M.M. Warburg & CO Luxembourg S.A. to Apex Group Ltd. (Apex), a portfolio company of Genstar Capital. The target entities have USD 50 billion assets under administration. The transaction follows Apex’s acquisition of Deutsche Bank’s Alternative Fund Services business in 2017.

Warburg and Apex will form a strategic partnership for Luxembourg based asset management services businesses.

Norton Rose Fulbright advises GuarantCo on the provision of a Naira equivalent of USD 50m Callable Capital Facility to InfraCredit

Global law firm Norton Rose Fulbright has advised GuarantCo, which has been acting in collaboration with the Nigeria Sovereign Investment Authority (NSIA), on the establishment of a new Nigerian entity, InfraCredit.

GuarantCo has provided a USD 50 million Callable Capital Facility to InfraCredit as part of its capital structure.

GuarantCo encourages infrastructure development in low income countries through the provision of credit guarantees that enable infrastructure projects to raise debt finance.

Slaughter and May advised Nordea Bank AB (publ) on the SEK 11 billion term facility agreement made available to Tele2 AB (publ)

Slaughter and May, has advised Nordea Bank AB (publ) (together with Citibank, N.A., London Branch and Skandinaviska Enskilda Banken AB as the Original Lenders) on the SEK 11 billion term facility agreement made available to Tele2 AB (publ) to finance a merger with Com Hem Holding AB (publ).

Slaughter and May worked as a team with Nordea’s in-house counsel in Sweden.

Clifford Chance advises banks on the EUR150 million facility for ChelPipe

Clifford Chance Moscow team has advised a syndicate of banks on the EUR150 million Russian law syndicated facility for PJSC Chelyabinsk Pipe plant (ChelPipe), the leading Russian manufacturer of tubular goods and the provider of integrated solutions for fuel and energy companies.

The deal was closed as a four-year unsecured facility. Raiffeisenbank, Commerzbank, UniCredit, Rosbank, ICBC and Agricultural Bank of China Limited acted as Mandated Lead Arrangers. Raiffeisenbank acted as Documentation Agent and Facility Agent for the Facility.

Clifford Chance advises ABN AMRO on its restructuring of business divisions

Clifford Chance advised ABN AMRO on its successful restructuring of business divisions ABN AMRO Lease and ABN AMRO Commercial Finance into one division with the name ABN AMRO Asset Based Finance. The restructuring consisted of four mergers, of which two mergers were cross-border mergers, and CC advised on Corporate, Regulatory and Employment matters. The restructuring was successfully completed on 1 January 2018.

Dentons has advised Societe Generale, London Branch and HSBC Bank plc on €215 million of investment facilities to Generator Hostels, which is owned by the private equity real estate fund manager Queensgate Investments. Generator Hostels are designed to combine affordable luxury rooms with unique social events for travellers and locals of the cities in which they currently operate across Europe and the US.

(LexinFintech) of 13.8 million American depositary shares (ADSs), which include 1.8 million ADSs sold pursuant to a full exercise of the underwriter’s over-allotment exercise, and the listing on the NASDAQ Global Market. LexinFintech is a leading online consumer finance platform in China.
