Schulte Represents UBS in Repricing of TRC Credit Facilities

Schulte represented UBS AG, Stamford Branch, as administrative agent, and UBS Securities LLC, as sole lead arranger, in connection with the repricing of a $325-million term loan and a $60-million revolving credit facility for TRC Companies Inc., a national engineering, consulting and construction management firm.

Finance partners Michael Michetti and Joel Simon led the team, which included special counsel Joseph Fastiggi and associates Sean Murray and Ankan Dhal.

Schulte represented UBS AG, Stamford Branch, as administrative agent, and UBS Securities LLC, as sole lead arranger, in connection with a $420-million U.S. dollar-denominated term loan, a €200-million euro-denominated term loan and a $20-million revolving credit facility for affiliates of ION Investment Group in their acquisition of a controlling stake in Dealogic from affiliates of The Carlyle Group and certain other owners. Dealogic is a global provider of data and analytics for capital markets.

Hogan Lovells advises banks on issuance of Volkswagen Bank corporate bonds

Led by Frankfurt partner Jochen Seitz Hogan Lovells has advised Commerzbank, Deutsche Bank (technical lead), RBC Capital Markets and Banco Santander on the subscription and placement of three corporate bonds of Volkswagen Bank GmbH with an overall volume of EUR 2 billion. Seitz together with his team advised on the subscription agreement and the securities prospectus.

Baker McKenzie advised National Australia Bank Limited (NAB) as Sole Lead Manager and as Initial Subscriber on the issue of A$41,200,000, 7% fixed rate secured notes, due 2022, by Kooragang Island Tank Terminals. 

Baker McKenzie lead partner on the deal, Duncan McGrath, said: "The deal -- undertaken by a private company in a part of the market typically accessed by ASX-listed issuers -- clearly demonstrates the increasing depth and sophistication of the market.

Baker McKenzie acts on Steadfast Group A$100 million capital raising to fund its acquisition of Whitbread Insurance Group

Baker McKenzie acted as Australian and U.S. legal counsel to Macquarie Capital (Australia) Limited and J.P. Morgan Australia Limited, as joint lead managers of a fully underwritten A$100 million institutional placement and subsequent share purchase plan by Steadfast Group Limited. The proceeds from the capital raising will be used by Steadfast Group to fund its A$95 million acquisition of Whitbread Insurance Group and provide funds for future growth.

Norton Rose Fulbright advises lenders on PPP project for police headquarters southeast Hesse

Global law firm Norton Rose Fulbright has advised the lenders for the construction, operation and maintenance of the new police headquarters Southeast Hesse in the city of Offenbach.

The headquarters will have capacity for 800 policemen and women and is structured as a public-private partnership (PPP). The state of Hesse and a project company held by Goldbeck Public Partner GmbH and Amber Infrastructure GmbH signed the contracts on 7 December.

Simpson Thacher represented the International Managers, Morgan Stanley and Daiwa Securities, in a ¥116 billion (approximately US$1 billion) initial public offering of shares of SG Holdings Co., Ltd. (“SG Holdings”). The selling shareholder in the IPO was SG Holdings Group Employee Shareholding Association. The global offering included an international offering to investors outside Japan and the United States in reliance on Regulation S.
