Trowers advises the syndicate of banks in relation to the US$3.037 Billion inaugural bond issuance

Trowers & Hamlins has advised, as UAE legal counsel, the syndicate of banks, led by First Abu Dhabi Bank, HSBC, J.P. Morgan Securities, MUFG Securities EMEA, BNP Paribas, Citigroup Global Markets Limited, Mizuho International plc, Société Générale and Standard Chartered Bank, in relation to the offering of over USD3 billion secured bonds by Abu Dhabi Crude Oil Pipeline LLC.  Abu Dhabi Crude Oil Pipeline LLC is a wholly owned subsidiary of Abu Dhabi National Oil Company, the state-owned oil company of the Emirate of Abu Dhabi.

Norton Rose Fulbright advises Berenberg on € 122m Solutions 30 share sale

Norton Rose Fulbright has advised private bank Berenberg on the share sale of Solutions 30, a French software services company. Shareholders in Solutions 30 came to market with an equity block trade, intended to increase liquidity in the shares and give new investors the opportunity to buy into the name. The deal, led by Berenberg, was for 4.7m shares, or 19,7% of the voting rights and was worth EUR 122m.

Shearman & Sterling advised Titan Global Finance on its offering of €250 million 2.375 percent guaranteed notes due 2024, as well as its cash tender offer for its outstanding 4.25 percent guaranteed notes due 2019. The notes are guaranteed by Titan Cement, and the offering closed on November 16, 2017.

Clifford Chance advises Alter Domus on its acquisition of Cortland Capital Markets Services in the US

Clifford Chance has advised Alter Domus, a leading provider of Fund and Corporate Services, on its agreement to acquire independent investment servicing company Cortland Capital Markets Services LLC in the U.S.

The Clifford Chance team advising Alter Domus was led by private equity partner Christopher Sullivan with support from corporate partner Kevin Lephamer, who joined the firm last year as a partner in New York, finance partner Andrew Husdan, regulatory partner Owen Lysak and private equity senior associate Neil Barlow.

Allen & Overy advises Commerzbank Aktiengesellschaft on financing of Haute Epine wind farm in France

Allen & Overy LLP has advised Commerzbank Aktiengesellschaft in connection with the financing of the Haute Epine wind farm in France.  The Haute Epine wind farm consists of nine 2.0M100 Senvion turbines and has a capacity of 18 megawatt in total.  Project developer and operator of the wind farm is Volkswind GmbH.  Volkswind GmbH is a member of the Swiss AXPO Group and one of the leading project developers in Germany and abroad.

Freshfields advises UniCredit on the €477.2m financing of RHI AG’s acquisition of Magnesita Refratários S.A.

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised UniCredit Bank Austria AG as mandated lead arranger, and 17 other international lenders, on a €477.2m facility provided to the Austria-based global refractory market leader RHI AG (RHI) for the acquisition of its Brazilian competitor Magnesita Refratários S.A. (Magnesita). The transaction closed on 26 October 2017.

InflaRx N.V., a clinical-stage biopharmaceutical company, placed 6,667,000 common shares in the IPO with a share price of $15.00 raising approximately $100 million of primary gross proceeds (total market capitalisation of $351,164,580). Trading of the shares on the NASDAQ Global Select Market commenced on 8 November 2017 under the ticker symbol “IFRX”.
