Stonegate Completes £150 Million Senior Secured Notes Offering

Simpson Thacher represented Stonegate Pub Company Financing plc, a wholly owned subsidiary of Stonegate Pub Company Limited (“Stonegate”), a TDR portfolio company, in connection with a Rule 144A and Regulation S offering of £150 million in aggregate principal amount of its new Floating Rate Senior Secured Notes due 2022. The transaction closed on February 4, 2019.

Davis Polk advised the underwriters in connection with a public offering by International Business Machines Corporation of €1.75 billion principal amount of its 0.375% notes due 2023, €1 billion principal amount of its 0.875% notes due 2025, €1 billion principal amount of its 1.250% notes due 2027 and €1.25 billion principal amount of its 1.750% notes due 2031.

Atlas Leisure Homes, a £35m-turnover holiday home manufacturer, has been acquired in a management buyout.
 
The MBO at the Hull-based business which employs more than 250 staff, was supported by an eight-figure funding package from HSBC UK, with Dan Wilson acting as relationship director, Ivor McTighe as global trade receivables finance director and Geoff Durkin as director of corporate banking origination.

International law firm CMS has advised Crédit Agricole Corporate and Investment Bank (Crédit Agricole CIB), KfW IPEX-Bank GmbH (KfW) and Denmark’s Export Credit Agency (EKF) as creditors in relation to the sale of a 50% shareholding in Macquarie’s Green Investment Group’s (GIG’s) 235MW Overturingen wind farm in Northern Sweden to Korean investors managed by Nordic private asset specialist CapMan Infra.

Global law firm White & Case LLP has advised Credito Fondiario S.p.A. and Fire S.p.A. on the acquisition of a €698 million non-performing receivables portfolio from Banca Monte dei Paschi di Siena S.p.A. and MPS Leasing & Factoring S.p.A.

Global law firm White & Case LLP has advised Pitagora S.p.A., as originator, and Banca IMI S.p.A., as arranger, on the restructuring of a receivables securitization.
 
The receivables were originated by Pitagora and consist of the assignment of up to one fifth of the borrowers' salaries, pensions, or payment delegations.
