Shearman & Sterling advises Bayerische Landesbank on Financing of Acquisition of Cloetta Italia by Katjes Group

Shearman & Sterling advised Bayerische Landesbank on the financing of the acquisition of the branded business of Cloetta Italia by Katjes International. In addition to partially financing the acquisition, the financing serves to cover working capital requirements.

Katjes International is the international holding company of Katjes group. Katjes International pursues a buy and hold approach and acquires companies with established brands in the Western European confectionery market.

Simpson Thacher Represents International Managers in US$11.6 Billion Equity Offering of Japan Post Holdings

Simpson Thacher recently represented Goldman Sachs, Daiwa Securities and Nomura Securities, the joint global coordinators of a ¥1.3 trillion (approximately US$11.6 billion) offering of shares of Japan Post Holdings Co., Ltd. (“JP Holdings”) by the Minister of Finance of Japan. The global offering included an international offering to institutional investors outside Japan in reliance on Rule 144A and Regulation S. The offering was one of the largest equity offerings globally to date this year.

Gide advised the banks in the buyback of bonds by Eramet for EUR65m and a new issue of EUR500m

Gide advised a bank syndicate led by BNP Paribas and Société Générale on the tender offer on a series of bonds due 2020 by Eramet for a total amount of EUR 65 million approx.

Simultaneously, Gide assisted the bank syndicate on the issuance by Eramet of EUR 500 million issue of 4.196 per cent. bonds due 2024 and admitted to trading on the regulated market of Euronext Paris.

Gide’s team was led by Hubert du Vignaux (partner), assisted by Laurent Vincent (counsel), Mariléna Gryparis and Louis Ravaud (associates).

WFW advises HSH Nordbank on €131m financing of two Finnish wind farms

Watson Farley & Williams (“WFW”) has advised HSH Nordbank AG (“HSH Nordbank”) on the financing of the Haapajärvi and Ratiperä wind farms in Finland.

HSH Nordbank provided a long-term financing of €65m for the 23.1 MW Haapajärvi windfarm, located in the town of the same name, and €66m for the 27 MW Ratiperä windfarm, in Jamijärvi municipality. Both projects were built by German developer ABO Wind AG.

Slaughter and May advised Standard Chartered PLC on its issue of €750,000,000 Fixed Rate Reset Notes due 2023 and €500,000,000 Fixed Rate Reset Notes due 2027 under its US$77,500,000,000 Debt Issuance Programme.

Barclays Bank PLC, Deutsche Bank AG, ING Bank N.V. and Standard Chartered Bank acted as joint lead managers and ABN Amro Bank N.V., Crédit Agricole Corporate and Investment Bank, First Abu Dhabi Bank PJSC, Lloyds Bank plc and Nomura International PLC acted as co-lead managers on the issues of the Fixed Rate Reset Notes.
