Pestalozzi advised lenders in connection with the CHF280 million public tender offer for LifeWatch by BioTelemetry

Pestalozzi advised SunTrust Banks, Inc. and KeyBanc Capital Markets, Inc. on all Swiss banking, takeover, capital markets and other Swiss law aspects in connection with the debt financing for the CHF280 million public tender offer made by BioTelemetry, Inc. for all publicly-held shares of LifeWatch AG, a SIX Swiss Exchange listed company. The public tender offer was funded by a combination of cash, BioTelemetry common stock and a USD205 million Term A Loan.

Davis Polk Advises Sumitomo Mitsui Financial Group, Inc. on Its $4.25 Billion SEC-Registered Notes Offering

Davis Polk advised Sumitomo Mitsui Financial Group, Inc. on its SEC-registered takedown offering of senior TLAC notes, which consisted of $2 billion aggregate principal amount of 2.784% senior notes due 2022, $1.75 billion aggregate principal amount of 3.364% senior notes due 2027 and $500 million aggregate principal amount of floating-rate senior notes due 2022.

SMFG is the holding company for one of the three largest banking groups in Japan. Its wholly owned subsidiary, Sumitomo Mitsui Banking Corporation, is one of the world’s largest commercial banks by assets.

Shearman & Sterling Advises on CMA CGM’s €650 Million High Yield Bond

Shearman & Sterling represented BNP Paribas, HSBC Bank plc, Crédit Agricole Corporate and Investment Bank, Société Générale, UniCredit Bank AG, Crédit Industriel et Commercial S.A. and ODDO BHF SCA, as initial purchasers on CMA CGM’s €650 million 6.500% senior notes due 2022.

The net proceeds of the offering, which closed on July 13, 2017, will be used to redeem all of CMA CGM’s outstanding €300 million 8.750% senior notes due 2018 and other outstanding indebtedness.

Shearman & Sterling Advises Ardagh on Its £400 Million Notes Offering

Shearman & Sterling represented Ardagh Packaging Finance plc and Ardagh Holdings USA Inc., as co-issuers, both subsidiaries of Ardagh Group S.A. (Ardagh), on their offering of £400 million 4.750% Senior Notes due 2027 (the “Notes”).  The Notes are guaranteed by Ardagh Group S.A. as parent guarantor and will be guaranteed by certain of its wholly owned subsidiaries.

WFW advises banks on 22 MW Sicilian wind plant project financing

International law firm Watson Farley & Williams (“WFW“) has advised a syndicate of banks on the restructuring of a €53m bank loan originally granted for the construction and operation of a 22 MW wind plant located in the Sicilian municipalities of Caltanissetta and Marianopoli.

The plant began operations in 2011 and is owned by an SPV controlled by French private equity fund Ardian. The original loan was lent to the SPV in 2010.
