DBAG Fund VII acquires duagon AG

Baker McKenzie advised Deutsche Beteiligungs AG (DBAG) and  DBAG Fund VII managed by DBAG on the acquisition in duagon, a Dietikon, Switzerland-based provider of network components for data communication in railway vehicles. The transaction is expected to close in July, 2017. The parties agreed not to disclose the purchase price.

Dentons successfully advises clients on sovereign bonds

Dentons, the global law firm, successfully advised Stifel, Nicolaus & Company Incorporated, Jefferies LLC and Drexel Hamilton, LLC as bookrunners and initial purchasers on a sovereign bond issued by the Dominican Republic. The Rule 144A/Regulation S offering of US $500 million 5.950 percent Bonds is due in 2027 by the Dominican Republic. The bonds constitute an additional issuance of US $1.2 billion bonds issued by the Dominican Republic in January 2017, and are expected to be admitted to trading on EuroMTF.

Shearman & Sterling Advises on KIRS Group’s High Yield Bond Offering

Shearman & Sterling advised BofA Merrill Lynch, Barclays, Credit Suisse, Goldman Sachs International and KKR as initial purchasers of KIRS Group’s £806 million equivalent high yield bond offering.

The offering comprised £400 million of 8.375% senior secured notes due 2023 and $520 million of 8.625% senior secured notes due 2023. The proceeds of the offering will be used to refinance existing debts and finance the acquisition of certain targets in the UK insurance industry.

Shearman & Sterling Advises Underwriters on China Three Gorges’ First Euro-Denominated Green Bonds Issuance

Shearman & Sterling advised Deutsche Bank, J.P. Morgan and Bank of China as joint global coordinators, joint lead managers and joint bookrunners, and UBS, ICBC, Standard Chartered Bank, Natixis and CCB International as joint lead managers and joint bookrunners, on the offering of €650 million 1.3% guaranteed notes due 2024 by Three Gorges Finance II (Cayman Islands) Limited. The notes were guaranteed by China Three Gorges Corporation and were listed on the Irish Stock Exchange.

State Bank of India issues largest-ever qualified institutional placement out of India

Allen & Overy advised the book running lead managers on the INR150 billion (approximately USD2.3 billion) qualified institutional placement (QIP) issue of equity shares by State Bank of India, the largest-ever QIP and equity offering from India to-date as well as the third largest equity offering out of Asia Pacific this year. The QIP received strong demand from both international and domestic investors.

Global law firm White & Case LLP has advised Goldman Sachs International and Société Générale as Global Coordinators, Joint Lead Managers and Joint Bookrunners on Europcar Groupe's €175 million capital increase.

The capital increase was realized through a private placement to qualified investors and resulted in the issuance of 14,612,460 new ordinary shares, representing approximately ten percent of Europcar Groupe's share capital.

King & Wood Mallesons (KWM) has advised the Open ANX Foundation Limited as Hong Kong and PRC counsel on its initial cryptographic token sale, which launched on 22 June 2017. The first of its kind in Hong Kong, the sale raised the equivalent of approximately USD15 million within its first 12 hours (out of the overall target of USD22.5 million).

The Open ANX Foundation was established under the direction of ANX International - an industry-leading, Hong Kong-based financial technology firm that is one of the world’s leading blockchain development firms.
