Allen & Overy advises on the benchmark bond offering by major Indian state owned oil and gas company

Allen & Overy advised the joint lead managers on the USD500 million 4.00% bond offering by Oil India International Pte. Ltd. (OIIPL), as issuer, and Oil India Limited, as guarantor. OIIPL is a wholly owned Singapore based subsidiary of Oil India Limited which is the second largest national oil and gas company in India as measured by total proved plus probable oil and natural gas reserves and production. The joint lead managers consisted of Barclays Bank PLC, Singapore Branch, Citigroup Global Markets Singapore Pte.

Simpson Thacher Represents Initial Purchasers in US$469.2 Million Offering of Global Depositary Shares by GlobalWafers

The Firm recently represented the initial purchasers, Nomura and Citi, in connection with the US$469.2 million offering of global depositary shares by GlobalWafers Co., Ltd. The offering was led by Nomura as sole global coordinator and Nomura and Citi as joint bookrunners, and conducted in reliance upon Regulation S under the Securities Act of 1933.

GlobalWafers is a leading global silicon wafer manufacturer based in Taiwan, and its shares are listed on Taiwan’s GreTai Securities Market.

Shearman & Sterling Advises on Amigo Luxembourg S.A.’s High Yield Tap Offering

Shearman & Sterling advised J.P. Morgan, Jefferies and NatWest Markets in connection with Amigo Luxembourg S.A.’s tap offering of £50 million 7.625% senior secured notes due 2024. The notes are guaranteed by Amigo Loans Group Ltd, Amigo Loans Holdings Ltd, Amigo Loans Ltd (“Amigo Loans”), Amigo Management Services Ltd and R G Catering Limited.

Slaughter and May Hong Kong is advising OCBC Bank on its acquisition of National Australia Bank’s (NAB) Private Wealth business in Singapore and Hong Kong. On completion of the acquisition OCBC Bank will gain access to around 11,000 new customers.

Herbert Smith Freehills advises on Indonesia Eximbank's updated US$1.5 billion EMTM programme and US$500 million drawdown

Herbert Smith Freehills has advised the arrangers and dealers on Indonesia Eximbank's update of its US$1.5 billion Euro Medium Term Note programme and the issue of US$500 million 3.875% notes due 2024.

Listed on the Singapore Stock Exchange, the notes were 10 times oversubscribed and priced much lower than the initial 4.2% coupon pricing range.

Milbank Advises Banking Consortium on EUR 2.5 Billion Financing for the Takeover of Drillisch AG by United Internet

Frankfurt, May 12, 2017 – The international law firm Milbank, Tweed, Hadley & McCloy LLP has advised an international banking consortium on the financing of the voluntary public tender offer to the shareholders of Drillisch AG by United Internet AG. The deal volume amounts to EUR 2.5 billion.

Hogan Lovells advises on the first sukuk to be listed on ISE's Global Exchange Market

DUBAI, 11 May 2017 - Hogan Lovells has advised Aktif Bank on the first sukuk ever to be listed on the Global Exchange Market of the Irish Stock Exchange ("ISE").

The US$118million sukuk was issued under a mudarabah structure with GAP Insaat Yatirim ve Dis Ticaret A.S., a Turkish construction company, acting as mudarib.

Clifford Chance has advised National Australia Bank (NAB) on the sale of its private wealth business in Singapore and Hong Kong to Oversea-Chinese Banking Corporation Bank (OCBC). The business comprises a US$1.7 billion mortgage portfolio and a US$3.05 billion deposit portfolio, and serves more than 11,000 customers from the two booking centres of Singapore and Hong Kong.
