Clifford Chance has advised Mastercard on antitrust and regulatory issues, enabling the client to gain regulatory approval in phase one from UK’s Competition & Markets Authority, clearing the way for the completion of the company’s planned acquisition of VocaLink Holdings Limited.

Lend completes Series A financing round

Swiss fintech startup Lend has successfully completed its Series A financing round hereby raising CHF 3.5m from Polytech Ecosystem Verntures and private angel investors.

Walder Wyss AG has acted as advisor to Lend in all legal aspects of the transaction. The team included Florian Gunz Niedermann (Partner, Corporate/Venture Capital) and Thomas Müller (Partner, Banking&Finance).

Homburger advised UBS in the update of its Senior Debt Programme

On March 10, 2017, UBS updated its Senior Debt Programme ("Programme"), under which bail-inable (TLAC) notes may from time to time be issued that are fully and unconditionally guaranteed by UBS Group AG ("UBSG"). The update included a change in issuer under the Programme, from a Jersey SPV to a Swiss SPV (UBS Group Funding (Switzerland) AG) that qualifies as a "relevant group company" pursuant to art. 2bis of the Swiss Banking Act. The Programme is a global programme allowing for the offering of bail-inable (TLAC) notes both in the U.S. in reliance on Rule 144A under the U.S.

VINGE ADVISES ACTIC GROUP AB (PUBL) IN CONNECTION WITH ITS LISTING ON NASDAQ STOCKHOLM

Vinge has advised Actic Group AB (publ) (“Actic”) in connection with its listing on Nasdaq Stockholm. The prospectus was published on 28 March 2017 and the first day of trading on Nasdaq Stockholm was 7 April 2017. The price in the offering was SEK 50.50 per share, corresponding to a market value of Actic of approximately SEK 800 million. The offering comprised 8,613,860 shares, of which 5,346,534 shares were newly issued shares and 3,267,326 were existing shares offered by the selling shareholder Actic International S.à r.l., which is owned by the IK 2007 Fund.

Cadwalader Advises Lendable on £100 Million Funding Program from Waterfall Asset Management

Cadwalader, Wickersham & Taft LLP has advised UK consumer loan platform Lendable on its first £100 million funding program from New York-based Waterfall Asset Management. The £100 million will be invested in loans made over Lendable's platform, which offers loans to prime and near-prime consumers in the UK.

The capital deployed by Waterfall represents one of the biggest ever institutional investments in loans originated through a European fintech platform and comes amid growing interest from US investors.

King & Wood Mallesons advises SkyCo’s Irish leasing platform’s inaugural transaction

King & Wood Mallesons (KWM) acted for SkyCo International Financial Leasing Co. Ltd. (SkyCo), a rapidly growing Chinese leasing company partly owned by the Guangdong Airport Group, on the inaugural transaction by its Irish aircraft leasing platform. In conjunction with its offshore set-up, the transaction involved the acquisition of a portfolio of aircraft with leases attached to an Indonesian airline.
