Global law firm White & Case LLP has advised Cassa di Risparmio di Asti S.p.A. and Cassa di Risparmio di Biella e Vercelli – Biverbanca S.p.A., as originator and underwriter, and UniCredit Bank AG, as arranger, on a multi-originator revolving securitisation of fondiari mortgage loans, ipotecari mortgage loans and unsecured loans issued by Cassa di Risparmio di Asti and Cassa di Risparmio di Biella e Vercelli – Biverbanca to Italian SMEs, for a total value of around €1.2 billion.

Gernandt & Danielsson advises in Corem Property Group’s issue of corporate bonds in the initial amount of SEK 500 million. The bonds are issued within the framework amount of MSEK 1,000. The company has undertaken to list the bonds on Nasdaq Stockholm. The proceeds from the bond issue will according to the terms and conditions of the bond be used for general corporate purposes including acquisitions and refinancing of outstanding bond debt.

Corem Property Group is a property company that manages, improves and develops warehouse, logistics and retail properties.

Shearman & Sterling advised The Export-Import Bank of China, China Development Bank, Silk Road Fund and International Finance Corporation in connection with the development and financing of the US$1.69 billion (approved total investment) 720 MW Karot hydropower plant in Pakistan, the largest hydropower plant in Pakistan to be financed on a limited-recourse basis.

Vinge has advised Skandinaviska Enskilda Banken AB (publ) (“SEB”) as to Swedish law in connection with the bank’s issue of Additional Tier 1 Capital in the amount of MUSD 600 in the form of a debt instrument with no final maturity and with automatically conversion into Class A-shares if the CET1 ratio of the bank decreases to a certain level. The instrument is listed on the Global Exchange Market regulated by the Irish Stock Exchange.

Dentons advises Warba Bank on Tier 1 Sukuk issuance

Dentons has advised Kuwait's Warba Bank on its issuance of US$250 million Perpetual Tier 1 Capital Certificates, which completed on 14 March 2017. The transaction represents the bank's inaugural sukuk issuance in the debt capital markets (including its first regulatory capital instrument).

The Capital Certificates were listed on the Irish Stock Exchange and NASDAQ Dubai and were offered to sophisticated investors outside of the United States in reliance on Regulation S under the US Securities Act 1933.

Watson Farley & Williams (“WFW“) advised Crédit Agricole Carispezia on a new loan granted to Rimorchiatori Riuniti Porto di Genova S.r.l., a company fully controlled by Rimorchiatori Riuniti S.p.A., to finance the acquisition of the “Malta” tugboat and on the amendments to two existing financings granted in connection with the acquisition of the “Norvegia” and “Messico” tugboats, for a total amount of €15m. 10 March 2017, GOME Electrical Appliances Holding Limited (GOME) completed its issuance of US$400 million 5.00% overseas corporate bonds due in 3 years. King & Wood Mallesons (KWM) acted as the PRC counsel for Barclays, the underwriter in the issuance. After the issuance, the bonds will be listed on the Singapore Exchange.
