Hannes Snellman Counsel to Sentica’s Portfolio Company Trust Kapital in its Acquisition of Enfo Zender

Hannes Snellman acted as counsel to Sentica’s portfolio company Trust Kapital, a company specializing in receivables lifecycle management and financing, in its acquisition of Enfo Zender, Enfo Oyj’s information logistics subsidiary. In the transaction, Enfo Zender’s information logistics business, including business operations and customers, is transferred to Trust Kapital.

Slaughter and May, London and Hong Kong, advised Standard Chartered PLC on its issue of US$1 billion Fixed Rate Resetting Perpetual Subordinated Contingent Convertible Securities. The Securities are convertible into ordinary shares of Standard Chartered PLC if at any time Standard Chartered PLC determines that its Common Equity Tier 1 ratio, calculated on a consolidated and fully loaded basis, is less than 7.00 per cent. The Securities are listed on the Main Board of the Hong Kong Stock Exchange.

Bank of Cyprus today announced that its total issued share capital of 446.199.933 ordinary shares of nominal value €0,10 each has been admitted to trading on the Main Market for listed securities of the London Stock Exchange ("LSE") and to trading on the Main Market of the Cyprus Stock Exchange.

Norton Rose Fulbright has advised Huatai Financial Holdings Limited (Huatai Financial) as the financial adviser to the offeror, a company controlled by Inner Mongolia Yili, on its acquisition and mandatory cash offers (the Offers) for China Shengmu Organic Milk (China Shengmu). China Shengmu is listed on the Hong Kong stock exchange.

Private equity investors Advent International and Bain Capital have acquired all shares in the leading German payment solutions provider Concardis GmbH headquartered in Eschborn/Frankfurt. Sellers are numerous representatives of the German banking sector, amongst others Deutsche Bank, Commerzbank, DZ Bank and the German Savings Bank Association (DSGV). Closing of the transaction is subject to the approval of the supervisory authorities.

WFW advises HSH Nordbank on rolling stock financing

Watson Farley & Williams (“WFW”) has advised HSH Nordbank on the financing of the acquisition by Railpool of 196 type BR 151 and BR 155 electric locomotives from DB Cargo. The locomotives will be partly let back to DB Cargo under a capacity take-off agreement. The transaction is co-sponsored by Toshiba.

Munich-based Railpool is a full service lessor of locomotives jointly owned by funds managed by Oaktree Capital Management L.P. and by the Singaporean sovereign wealth fund GIC.
