KWM assists in bringing Cherry Tree Wind Farm to financial close

King & Wood Mallesons (KWM) has advised on the project financing of Cherry Tree Wind Farm (Cherry Tree), a 57.6 MW renewable project located near Seymour, Victoria.

Preliminary development activities and documentation for Cherry Tree were undertaken by Infigen Energy (Infigen), who sold its interest in the project to John Laing under an innovative ‘capital-light’ structure at financial close. John Laing also coordinated the project financing arrangements.

Sberbank Succeeds in the Court of Appeal in Opposing Attempts by the International Bank of Azerbaijan to Block Claims

Fried Frank represented Sberbank before the Court of Appeal of England and Wales in successfully defending an appeal by the International Bank of Azerbaijan (the IBA) to block Sberbank's claims for outstanding amounts due under a loan facility agreement. This upholds the decision before Mr. Justice Hildyard dated 21 December 2017 in which Fried Frank also represented Sberbank.

Luzhou City Commercial Bank Debuts in US$221 Million Hong Kong IPO

Hong Kong – Paul Hastings, a leading global law firm, announced today that the firm has advised Luzhou City Commercial Bank on its US$221 million global offering and IPO on the Hong Kong Stock Exchange. Luzhou City Commercial Bank is the only and largest city commercial bank in Luzhou, Sichuan Province. CLSA Capital Markets Limited acted as the sole sponsor and CLSA, CCB International and China Galaxy International acted as the joint global coordinators for the listing.

Global law firm White & Case LLP has advised ING Belgium SA/NV, KBC Bank NV and Belfius Bank NV, as mandated lead arrangers and bookrunners, on a financing for Waterland's acquisition of a stake in Intracto.

Intracto is a fast growing digital agency servicing clients in the Benelux. Waterland is an independent private equity investment group that supports entrepreneurs in realizing their growth ambitions.

The White & Case team which advised on the transaction was led by local partner Hadrien Servais with support from associate Eline Souffriau.

Advising Helaba on acquisition of Dexia Kommunalbank Deutschland

On 14 December, Helaba Landesbank Hessen-Thüringen (Helaba) announced the signing of a SPA providing for the full acquisition of all shares in Dexia Kommunalbank Deutschland GmbH (DKD) for a purchase price of EUR 352 million.

The transaction is expected to close in the second quarter of 2019 after the required regulatory clearances have been received.  With this transaction, Helaba will become the leading Pfandbrief issuer in Germany.

Simmons & Simmons advises UniCredit Bank AG on Slovenia’s first ever green bond issue by SID Bank

International law firm Simmons & Simmons has advised UniCredit Bank AG as sole bookrunner on a €75m issue of Green Bonds by SID Bank (SID - Slovenska izvozna in razvojna banka, d.d., Ljubljana), guaranteed by the Republic of Slovenia.

This is the first ever green bond to be issued in Slovenia. The proceeds of the offering will be used to fund eligible projects pursuant to the Green Bond Framework created by SID Bank in accordance with the ICMA Green Bond Principles 2018.

Harvest Healthcare manufactures, supplies and services active and static mattresses and cushions, profiling beds, and moving and handling equipment to care home groups, community care equipment stores, and hospitals, both direct and via a network of distributors.

Norton Rose Fulbright advises Amsterdam Trade Bank on debut shipping loan securitisation

Global law firm Norton Rose Fulbright has advised Amsterdam Trade Bank N.V. on its first securitisation of shipping loans, via ATB Shipping Finance I B.V. (a Dutch private company with limited liability). The transaction was arranged by Citibank and securitises a diversified portfolio of shipping loans, with borrowers located in a number of jurisdictions and security over vessels of a range of types and flag jurisdictions.
