Shearman & Sterling Advises ARD Finance on Its $1.7 Billion Offering of Senior Secured Toggle Notes

Shearman & Sterling represented ARD Finance S.A., an indirect parent company of Ardagh Packaging Holdings Limited (Ardagh), in its offering of $770 million 7.125% / 7.875% senior secured toggle notes due 2023 and €845 million 6.625% / 7.375% senior secured toggle notes due 2023. The net proceeds from the issuance will be used to fund the redemption of the existing PIK notes due 2019 issued by Ardagh Finance Holdings S.A. and to finance a return of capital to shareholders.

From 1 January 2017 SNS Bank N.V. will change its name to ‘de Volksbank N.V.’

Travers Smith advises on £38m placing by easyHotel plc

Travers Smith LLP has acted for Investec Bank plc in its capacity as sole broker and nominated adviser on the £38 million placing of new ordinary shares issued by easyHotel plc.

The new shares represent approximately 60.8 per cent. of the ordinary shares currently in issue,  issued at a premium of approximately 18.3 per cent. to the closing mid-market price on 27 September 2016.

The proceeds of the placing are to be primarily utilised to fund the company's owned hotel roll-out strategy.

Norton Rose Fulbright advises lenders on €750m rail financing for SNCF

Global law firm Norton Rose Fulbright has advised a pool of seven banks ABN Amro Bank, Crédit Agricole, Crédit Industriel et Commercial, HSH Nordbank AG, ING Bank, KfW IPEX Bank GmbH and La Banque Postale Crédit Entreprises on a major €750 million rail financing for Akiem Holding, SNCF’s locomotive rental subsidiary, for the refinancing of existing locomotives and financing of new locomotives.

On 28 September 2016, Postal Savings Bank of China Co., Ltd. (PSBC) had its H shares successfully listed on the Hong Kong Stock Exchange, with King & Wood Mallesons (KWM) advising its underwriters. PSBC’s initial public offering comprised a total of 12.1 billion H shares issued globally, pricing at HK$4.76 per H share, which raised approximately US$7.4 billion (subject to the over-allotment option).

Hansa Center was acquired by publity group, a Leipzig-based financial investor in commercial real estate.
 

Swiss Life – EUR 600 mio. Hybrid Bond

Swiss Life Ltd has successfully placed a EUR 600 million undated subordinated bond, first callable in May 2027. The coupon until the first call date has been fixed at 4.5%.
