Shearman & Sterling advised Citigroup, as sole bookrunning manager, on FAGE's $420 million high yield notes offering. The offering, which was conducted pursuant to Rule 144A and Regulation S under the US Securities Act, closed on August 3, 2016.

FAGE is a leading international dairy company with a focus on yogurt. FAGE has a significant and growing presence in the US yogurt market, growing international sales outside of the United States, and leading market positions in the Italian, UK and Greek yogurt markets.

Noerr advises banking consortium on recapitalization of ADCURAM group

Noerr has advised a banking consortium on the recapitalization of the prefabricated houses group of the ADCURAM industry group. Overall, IKB Deutsche Industriebank AG and Joh. Berenberg, Gossler & Co. KG are providing the group with EUR 62 million.

The ADCURAM prefabricated house group consists of Bien-Zenker GmbH and Hanse Haus GmbH & Co. KG, which will be further developed independently of each other. In the current year the group will achieve revenue of approximately € 260 million and hand over more than 1,200 houses to new owners.

Sidley Advises Underwriters on Morgan Stanley’s $3 Billion Senior Notes Offering

Sidley has advised the underwriters, led by Morgan Stanley & Co. LLC, in connection with Morgan Stanley’s SEC-registered global offering of $3 billion aggregate principal amount of 3.125% fixed rate senior notes due 2026. The transaction settled on July 25, 2016.

The multi-office Sidley team included partners Michael Kohler and Aryeh Zarchan, securities associates Alex Csordas and Carol Liu, securities partner David Howe and tax partner Nicholas Brown.

Ashurst advises pbb Deutsche Pfandbriefbank on financing the acquisition of a commercial real estate portfolio by Catalyst

Ashurst advised pbb Deutsche Pfandbriefbank (pbb) on financing the acquisition of a commercial real estate portfolio by investment and asset management firm, Catalyst. The purchase price amounts to around €200 million, the financing to €120 million.

The portfolio comprises ten commercial properties located, amongst others, in Cologne, Dortmund, Düsseldorf, Frankfurt, Stuttgart and Munich with a size of more than 93,000 square metres in total. The sellers are TRIUVA Kapitalverwaltungsgesellschaft mbH and a large German public sector pension scheme.
