BMBG Bond Finance S.C.A.'s High-Yield Senior Secured Debt Offering

Cravath represented BMBG Bond Finance S.C.A. in connection with its €435 million 144A/Reg. S high-yield senior secured debt offering. BMBG Bond Finance S.C.A. is a subsidiary of Braas Monier Building Group S.A., a leading manufacturer and supplier of pitched roof products, including both roof tiles and roofing components in Europe and parts of Asia and South Africa. The notes were listed on the Irish Stock Exchange. The transaction closed on June 15, 2016.

Kirkland & Ellis Advises on the IPO of China Online Education Group

Kirkland & Ellis advised Morgan Stanley and Credit Suisse as joint bookrunners on the initial public offering of 2.4 million American Depository Shares of China Online Education Group (NYSE: COE), a leading online education platform in China with core expertise in English education, valued at US$45.6 million. The pricing was announced on June 10, 2016.

The Kirkland team was led by Hong Kong corporate partners David Zhang and Ben James.

China State Construction Engineering Corporation Limited $1 Billion Notes Offering

Davis Polk advised the joint lead managers in connection with the Regulation S-only offering by CSCEC Finance (Cayman) I Limited (the “Issuer”) of its $500 million 2.25% notes due 2019 and $500 million 2.70% notes due 2021 unconditionally and irrevocably guaranteed by China State Construction Engineering Corporation Limited (the “Guarantor”).

Dentons advises KGAL Group on purchase of Eiffel Square in Budapest

Budapest-Dentons advised German asset manager KGAL Group on its acquisition of Eiffel Square, a major office development in central Budapest, from Europa Capital.

Eiffel Square is a 23,500 sq.m. prime office development next to Budapest’s Nyugati Station (designed by Gustav Eiffel), with 18,500 sq.m. of offices, 2,100 sq.m. of retail premises and 1,700 sq.m. of restaurants.

Clifford Chance represents Citi in trial win over USD 2.4bn EMI acquisition

Clifford Chance has represented Citi on the bank's successful defence against Terra Firma's £1.5bn law suit before Mr Justice Burton in the High Court in London, which alleged that Citi induced it to bid for EMI by making fraudulent statements in conversations with Terra Firma's Principal, Guy Hands. The case followed Terra Firma's previous unsuccessful attempt to litigate its fraud claims in New York, and ended when the firm withdrew all allegations of fraud against Citi and 3 senior officers in the first week of the six weeks scheduled for the trial.

Shearman & Sterling Advises Banco Popolare on Approximately €1 Billion Rights Offering

Shearman & Sterling acted as counsel to Banco Popolare – Società Cooperativa (Banco Popolare) in connection with its approximately €1 billion pending rights issue.

The offering by Banco Popolare of 465,581,304 new ordinary shares pursuant to transferable pre-emptive subscription rights granted to existing holders of its ordinary shares includes a retail offering in Italy and an offering outside the United States to certain institutional investors in reliance on Regulation S under the US Securities Act of 1933.
