ABS transaction for VW Financial Services worth 1 billion euros

Baker & McKenzie advised Volkswagen Financial Services AG, Volkswagen Leasing B.V. and DutchLease B.V. in another asset-backed securities (ABS) transaction as part of the VCL Master series in the Netherlands.

Notes backed by lease receivables and residual values of vehicles in a total nominal amount of up to 1 billion Euros were issued in the Netherlands. Originators of the receivables are Volkswagen Leasing B.V. and DutchLease B.V. The issuer is VCL Master Netherlands B.V..

Wiersholm have advised Pareto Bank on this year's first listing on a Norwegian regulated market

Wiersholm have advised Pareto Bank ASA on the listing of its shares on Oslo Axess. This is the first listing on a Norwegian regulated market (Oslo Børs/ Oslo Axess) in 2016.

Pareto Bank is a niche bank located in Oslo which specialises in project financing. Its main business areas are property development financing, corporate financing and shipping and offshore financing.

Shearman & Sterling Advises Underwriters on the $1.5 Billion Guaranteed Notes Offering by China Three Gorges Corporation

Shearman & Sterling advised J.P. Morgan, Deutsche Bank, Industrial and Commercial Bank of China, Bank of China, Goldman Sachs, and UBS as initial purchasers on the offering of US$500 million 2.3% guaranteed notes due 2021 and US$1 billion 3.15% guaranteed notes due 2026 by Three Gorges Finance I (Cayman Islands) Limited, a wholly owned special-purpose vehicle of China Three Gorges Corporation. The notes are guaranteed by China Three Gorges Corporation and are listed on the Singapore Exchange Securities Trading Limited.

Linklaters advises on HK$8.74bn BOC Aviation IPO

Linklaters was pleased to advise on the spin-off listing of Bank of China’s aircraft leasing business, BOC Aviation Limited.

BOC Aviation Limited is the largest aircraft operating leasing company headquartered in Asia and the fifth largest globally.

Linklaters was pleased to advise Dah Sing Financial Holdings Limited and Dah Sing Banking Group Limited in a HK$10.6bn (US$1.37bn) transaction.

Dah Sing Financial Holdings has agreed to sell its life insurance subsidiaries in Hong Kong and Macau to Thai Hot Investment, a PRC conglomerate.

Upon completion of the sale, the Dah Sing Group’s banking subsidiaries are expected to enter into 15-year insurance distribution agreements with the life insurance companies under their new ownership.

Shearman & Sterling represented Australia and New Zealand Banking Group Limited, Citigroup Global Markets Limited, and Deutsche Bank AG, London Branch as joint book-running managers in connection with Ford Motor Credit Company’s offering of its A$450,000,000 aggregate principal amount of 3.588% notes due June 2, 2020.  The notes have been listed on the New York Stock Exchange.

Vinge has advised Intrum Justitia AB in connection with the negotiation of a long-term financing agreement whereby the Swedish Export Credit Corporation (SEK) lends EUR 160 million through Intrum Justitia issuing bonds pursuant to a private placement. The bonds are senior, issued without security and the term thereof is seven years, with maturity in June 2023. The bonds are subject to a variable interest rate of EURIBOR 3 months plus a market interest margin.
