Norton Rose Fulbright advises Investec Bank plc on AIM IPO of Midwich Group plc

Global law firm Norton Rose Fulbright has advised Investec Bank plc in its role as nominated adviser, sole bookrunner and broker in connection with the placing and the admission to AIM of the entire ordinary share capital of Midwich Group plc.

Midwich Group plc is a specialist audio visual and document solutions distributor to the trade market with operations in the UK and Ireland, France, Germany and Australasia.

Clifford Chance advises FCA Bank on joint venture with Ferrari Financial Services S.p.A.

A joint German and Italian Clifford Chance team advised FCA Bank S.p.A. (FCAB) on the signing of a memorandum of understanding (MoU) for FCA Bank to acquire a majority stake in Ferrari Financial Services AG (FFS AG), a wholly owned subsidiary of FFS S.p.A.

Ferrari Financial Services S.p.A. (FFS S.p.A.) is an Italian indirect subsidiary of Ferrari N.V. (“Ferrari”) (NYSE/MTA: RACE).

Clifford Chance advises Natixis and KB Insurance on an infrastructure and aviation co-investment agreement

KB Insurance Co., Ltd. and Natixis S.A. have signed a partnership agreement to co-invest in infrastructure and aviation debt originated by Natixis.

Under the terms of the agreement, signed on Monday 11th April 2016, KB Insurance targets to invest USD 400 million over three years into this asset class.

Bellevue completes rights offering

Bellevue Group, an independent Swiss financial boutique listed on the SIX Swiss Exchange (ticker symbol: BBN), conducted a rights offering with Bank am Bellevue as lead manager to finance the acquisition of German-based asset manager StarCapital and to maintain its strategic flexibility. Lenz & Staehelin acted as transaction counsel.

The team included Hans-Jakob Diem, Patrick Schleiffer, Stefan Scherrer, Michael Kremer and Suzan Hacisalihzade.

Gleiss Lutz advises Goldman Sachs on acquisition of Continental Bakeries

Gleiss Lutz has advised US investment bank Goldman Sachs on all aspects of German law in connection with its proposed acquisition of the bakery group Continental Bakeries. Together with the family office investment club Silverfern, Goldman Sachs intends to acquire Continental Bakeries from NPM Capital. Final agreement on the transaction is expected after completion of the applicable employee consultation procedures. Closing of the transaction is subject to customary regulatory clearances.

Slaughter and May is advising UK Asset Resolution - outsourcing of mortgage servicing

Slaughter and May is advising UK Asset Resolution (UKAR) on its strategic and transformational project to outsource the servicing of its portfolio of £30 billion mortgage assets to Computershare Limited (Computershare). In order to service this portfolio, Computershare is acquiring the mortgage servicing operations of Bradford and Bingley, making Computershare the largest third party mortgage servicer in the UK and Ireland. The outsourcing agreement has an initial term of seven years and also covers related ancillary services, such as IT and property services.

White & Case Advises Lenders on Lexmark Acquisition Financing

Global law firm White & Case LLP is advising Bank of China and China CITIC Bank on an aggregate $1.583 billion loan for a consortium led by Apex Technology Co., Ltd. and Pacific Alliance Group to finance the acquisition of Lexmark International Inc.

The merger, which is expected to close in the second half of 2016, is subject to approval by Lexmark's shareholders, regulatory approvals in the US, including the Committee on Foreign Investment, China and certain other foreign jurisdictions, and other customary closing conditions.

Davis Polk advised Nederlandse Waterschapsbank Bank N.V. (“NWB Bank”) in connection with the annual update of its €60 billion Rule 144A/Regulation S debt issuance program. In the 12 months prior to the update, Davis Polk advised NWB Bank in connection with senior notes issuances totaling €3.65 billion.

Clifford Chance advises Natixis on the signature of an infrastructure and aviation co-investment agreement with Samsung Life Insurance and Samsung Asset Management

Samsung Life Insurance Co., Ltd., Samsung Asset Management Co., Ltd and Natixis S.A. have signed a cooperation agreement to co-invest in infrastructure and aviation debt originated by Natixis.

Under the terms of the agreement, signed on Tuesday 19th April 2016, the two Samsung Group entities target to invest USD 500 million over five years into this asset class. Samsung Life will invest on its own behalf, while Samsung Asset Management will place the loans among other Korean institutional investors.
