Silicon Valley Bank provides financing to The Riverside Company and Guestline

Travers Smith LLP has acted for Silicon Valley Bank on the financing of the acquisition of Guestline by private equity firm the Riverside Company.

Guestline is a leading provider of mission critical software for the hospitality sector. Based in Shrewsbury, UK, the company serves a broad customer base of independent hotels, hotel chains, pub companies and serviced apartments, delivering proprietary hospitality software solutions via the cloud.

Schoenherr advises UniCredit on the financing of hydro power plants in Turkey

Schoenherr has advised UniCredit Bank Austria AG as arranger, agent, security agent and original lender in connection with a senior term facility for the construction and operation of several hydro power plants in Turkey for the Austrian based enso Group. enso Group operates and manages hydro power plants in Turkey, Norway and Albania.
 
The financing was structured as a non-recourse financing under Austrian law with security provided to the security agent both in Turkey and Austria.
 
The deal closed on 31 March 2016.
 

Clifford Chance Paris advises on the EUR 1.8 billion bond issuance by Sanofi

Clifford Chance advised Banco Santander, S.A., Barclays Bank PLC, Citigroup Global Markets Limited, ING and The Royal Bank of Scotland plc on the issuance of EUR 1.8 billion of notes by Sanofi. The notes were admitted to trading on the Euronext Paris market on 5 April 2016.

The three series were drawn under Sanofi's Euro Medium Term Note Programme, and priced as follows:

* EUR 500 million 0.000 per cent. Fixed Rate Notes due 5 April 2019
* EUR 600 million 0.625 per cent. Fixed Rate Notes due 5 April 2024

Allen & Overy advises Deutsche Beteiligungs AG on the unitranche financing in connection with the acquisition of Telio group

Allen & Overy LLP has advised DBAG Fund VI, a fund advised by Deutsche Beteiligungs AG (DBAG), on the unitranche and super senior revolving credit facility financing in connection with the acquisition of a majority share in the Telio group from the previous owners in a management buyout. The parties have agreed not to disclose the financing volume.
Telio develops, installs and operates prison communication and media systems.
 

Debevoise Advises AmTrust in Agreement to Acquire ANV Holding B.V. for $218.7 Million

Debevoise & Plimpton LLP is advising AmTrust Financial Services, Inc. (“AmTrust”), a multinational property and casualty insurer, in its acquisition of ANV Holding B.V. and its affiliates (“ANV”), a specialty insurance and reinsurance company, from Ontario Teachers’ Pension Plan and ANV management for $218.7 million in cash.

Pending regulatory approval, both parties expect the deal to close in the third or fourth quarter of 2016.

Debevoise Advises Opportunity International in Sale of Majority Stake in Kinshasa Microfinance Institution to VisionFund International

The London office of Debevoise & Plimpton LLP has advised Opportunity International in its agreement to sell a majority stake in Kinshasa, a microfinance institution operating in the Democratic Republic of Congo (DRC), to VisionFund International.

The State Treasury of the Republic of Poland's $1.75 Billion Registered Debt Offering

Cravath represented the underwriters, Barclays, BNP Paribas, Deutsche Bank Securities and J.P. Morgan Securities, in connection with the US$1.75 billion registered debt offering of The State Treasury of the Republic of Poland. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on April 6, 2016.
