Ashurst advises Intermediate Capital Group Plc on the Parkeon group sale

Ashurst advised Intermediate Capital Group Plc (ICG) on the sale of the Parkeon group to Astorg Partners.

The Parkeon group is the global leader in the sector of parking management solutions and digital urban mobility. As a result of the transaction, the Astorg Partners investment fund owns a majority shareholding in the Parkeon group; the balance is owned by the management.

The transaction was completed on 15th April 2016.

Ashurst advises Berenberg on the financing of the acquisition of the IHSE Group by Brockhaus PE

Ashurst advised Joh. Berenberg, Gossler & Co. KG (Berenberg) in relation to the financing of the acquisition of the IHSE Group by funds advised by independent private equity firm Brockhaus Private Equity. The developer and manufacturer of advanced IT-KVM-hardware allowing to securely access remote computer and video sources (KVM - Keyboard, Video and Mouse) was sold by several private individuals. The parties have agreed not to disclose the financing volume and purchase price.

Weil Represents CEE Stock Exchange Group and Oesterreichische Kontrollbank in Sale of Stake in the Budapest Stock Exchange to the National Bank of Hungary

Weil represented CEE Stock Exchange Group AG (CEESEG), a holding company with controlling stakes in the Vienna, Prague, Ljubljana and Budapest stock exchanges, and Oesterreichische Kontrollbank (OeKB) in connection with the sale of their combined shareholding of approximately 70% in the Budapest Stock Exchange to the National Bank of Hungary. The transaction closed in December 2015.

Shearman & Sterling Advises Underwriters on InterXion’s €150 Million Senior Secured Offering

Shearman & Sterling represented Barclays Bank and ABN AMRO on InterXion’s offering of an additional €150 million of senior secured notes. The bond pays interest at a rate of 6.00% per annum due 2020.

InterXion is headquartered in Amsterdam and is a leading provider of carrier and cloud neutral colocation data center services in Europe. It supports approximately 1,600 customers through 41 data centers in 11 countries.

Kirkland & Ellis Represents Blackstone on the Financing Aspects of its Acquisition of Mphasis

Kirkland & Ellis is representing Blackstone on the leveraged financing to partly fund its acquisition of at least 84 percent of Hewlett Packard Enterprise’s stake in Mphasis, an India based outsourcing firm listed on the Bombay Stock Exchange. The deal could value Mphasis at up to US$1.1 billion. The transaction was announced on April 4, 2016.

The Kirkland team is led by Hong Kong debt finance partner David Irvine and Hong Kong corporate partner Nicholas Norris.  Linklaters is representing the arrangers of the financing.

Ashurst advises Proventus Capital Partners on acquisition of the business and assets of the Polestar Group

Ashurst advised Proventus Capital Partners ("Proventus") and two new UK-registered companies owned by Proventus, Polestar Print Holdings Limited and Polestar UK Print Limited, on the recent pre-packaged acquisition of the business and assets of the Polestar Group, the UK's largest independent printing company and leading content delivery specialist.  Proventus is the Polestar Group's former major shareholder and lender.

Slaughter and May advised VocaLink limited on the separation of the LINK Scheme from VocaLink and the re-negotiation of VocaLink’s processing contract with the LINK Scheme and its members.

VocaLink designs, builds and operates payments systems and ATM switching platforms. LINK is the network which connects the UK’s cash machines and provides consumers with universal access to their cash.

Morgan and Standard Chartered Bank as the joint lead managers on the issue of US$400 million 2.125% guaranteed notes due 2019 and US$600 million 2.625% guaranteed notes due 2021 by Azure Orbit III International Finance Limited, and unconditionally and irrevocably guaranteed by Bank of Communications Co., Ltd. Macau Branch. Azure Orbit III is a subsidiary of the Bank of Communications.
