Watson Farley & Williams advises on the €528m restructuring of Olivento, Spain’s largest onshore wind portfolio

Watson Farley & Williams (“WFW”) has advised a consortium of 10 lenders, led by Banco Santander, on the €528m financial restructuring of Olivento, Spain’s largest onshore wind portfolio with a total capacity of 422MW.

Sponsored by FCC and Plenium FMPG, Olivento consists of 14 plants located in various autonomous regions, including Almería, Granada, Huelva, Jaén, León, Lugo, Pontevedra, Teruel, Toledo and Zaragoza.

Linklaters advises UniCredit Group on the sale of UkrSotsBank

Linklaters has advised UniCredit Group on its sale of UkrSotsBank to Alfa Group's ABH Holdings, a privately owned Luxembourg-based holding company for banking activities in the CIS.   As part of the deal, UniCredit Group will contribute its shares in UkrSotsBank to ABH Holdings in exchange for newly issued shares representing a 9.9% stake of ABH Holdings post transaction. Closing of the transaction requires regulatory approvals and is expected to take place in 2016.

Clifford Chance advised OPIC and IFC on all aspects of the financing of the renovation of the 52.9MW combined cycle power plant running on heavy fuel with the option of conversion to natural gas located at the site of Cap des Biches in Senegal, including:

* Reviewing and commenting on all project documents, including the PPA with the national offtaker; and
* Drafting all financing documents and related security across four jurisdictions (Senegal, New York, England, Luxembourg)

Clifford Chance has advised a syndicate of 20 banks based in Asia with DBS Bank Ltd as mandated lead arranger, bookrunner and global coordinator and CTBC Bank Co., Ltd. as Taiwan bank coordinator on an up to US$600 million revolving and term loan facility for FodiatorFunding B.V., a subsidiary of AerCap, one of the world's largest aircraft leasing companies based in Netherlands. The facility was guaranteed by AerCap Holdings N.V.

Hogan Lovells advises on £128 million equity fundraising by Skyscanner

Hogan Lovells London-based corporate team has advised Goldman Sachs and Numis Securities in connection with Skyscanner's £128 million fundraising. The new investors include Baillie Gifford, Khazanah Nasional Berhadnd (the investment arm of the Malaysian government), Yahoo! Japan, Artemis and Vitruvian Partners.

The funds will be used by Skyscanner to accelerate the growth of the company through its search engine, which is already used by 50 million users each month, to gain a greater share of the £333 billion online travel booking sector.

Sponsor Acquires Orthex Group

We acted as counsel in all finance-related matters in an acquisition arrangement where Sponsor Fund IV, a fund managed by Sponsor Capital, acquired Orthex Group, the leading manufacturer and marketer of plastic household products in the Nordics. Nordea Bank Finland Plc provided the financing for the arrangement.

White & Case LLP has advised International Finance Corporation (IFC), together with other consortium members IFHA-II Cooperatief U.A. (IFHA-II), Swiss Re and CIEL Healthcare Africa Limited (CHL), on an investment in Hygeia Nigeria Limited, Nigeria's leading private healthcare company.

Hygeia Nigeria currently operates a network of hospitals and clinics under the Lagoon Hospitals brand, in addition to a health management organization, Hygeia HMO.

Davis Polk Advises China Cinda on a Strategic Investment by Sino Biopharmaceutical

Davis Polk is advising China Cinda Asset Management Co., Ltd. (“China Cinda”) in connection with a proposed strategic investment by Sino Biopharmaceutical Limited. Pursuant to terms of the investment, China Cinda has conditionally agreed to issue H shares to Sino Biopharmaceutical for an aggregate consideration of approximately RMB4.92 billion. The investment, which is subject to a number of conditions precedent, will give Sino Biopharmaceutical approximately 4.999% interest in the total share capital of China Cinda.
