Milbank Acts on Two Philippine Perpetual Capital Securities Offerings

Milbank, Tweed, Hadley & McCloy LLP recently advised on two significant international capital markets transactions in the Philippines involving International Container Terminal Services, Inc. (ICTSI) and SMC Global Power Holdings Corp. (SMC Global Power). The two transactions, both completed in August, raised a total of US$750 million, signifying the country’s continuing strong position in the global capital markets despite recent challenging market conditions.

(HNA Capital) on the offering of US$200 million 4.5% guaranteed bonds due 2018 by BL Capital Holdings Limited, an offshore company that operates as a special purpose vehicle for HNA Capital, underwritten by Barclays Bank PLC, Bank of China Limited, China Everbright Securities (HK) Limited, and Guotai Junan Securities (Hong Kong) Limited.

White & Case Advises U.S. Bank on €450 Million E-Carat Securitization of Opel Bank

White & Case LLP has advised U.S. Bank Global Corporate Trust Services (U.S. Bank) on a securitization transaction for Opel Bank of approximately €450 million.

The transaction refinances a pool of auto loans granted in Germany by Opel Bank, a subsidiary of Adam Opel AG. It used Compartment 8 of Opel Bank's Luxembourg-based securitization platform E-Carat S.A.. U.S. Bank acted as collateral agent, cash manager, account bank, paying agent, back-up calculation agent and agent bank. White & Case has advised on a number of E-CARAT securitizations in recent years.

Ashurst advises UniCredit Bank on granting of corporate loan to Heinz-Glas Group

Ashurst advised UniCredit Bank AG and UniCredit Luxembourg S.A. (together, "UniCredit") in connection with the setting-up and structuring of a syndicated loan for Heinz-Glas Group. The medium-term credit facilities serve to refinance existing liabilities and to finance working capital needs. Besides UniCredit, Commerzbank Aktiengesellschaft and Sparkasse Kulmbach-Kronach also participated in the syndicated loan.

Baker & McKenzie advises EBRD on a syndicated facility of up to US$130 million for Nibulon

The Kyiv and Paris offices of Baker & McKenzie acted as Ukrainian and English law counsel to the European Bank for Reconstruction and Development (EBRD) in connection with a new syndicated loan facility of up to USD 130 million for Nibulon, Ukraine’s leading grain and oilseeds trader and producer. The loan will support Nibulon in its trading activity including export sales.  Nibulon owns and operates one of the largest networks of grain handling and logistics infrastructure in Ukraine.

Banca dello Stato del Cantone Ticino Reaches Agreement With the US Department of Justice

Within the framework of the US program in which it participated voluntarily, Banca dello Stato del Cantone Ticino has reached a non-prosecution agreement with the US Department of Justice. The bank agreed to pay USD 3.39 million and to further cooperate with US authorities. In return, the US Department of Justice will abstain from criminal prosecution.

Bär & Karrer advised Banca dello Stato del Cantone Ticino together with the US law firm Caplin & Drysdale. The team included Paolo Bottini and Matthias Bizzarro.

NautaDutilh assists Finaccess Capital in takeover of shares in AmRest Holding

NautaDutilh assisted Finaccess Capital, S.A. de C.V. in the EUR 270 million takeover of a 31.7% shareholding in AmRest Holdings SE. AmRest Holding is the largest independent chain restaurant operator in Central and Eastern Europe.

The team was led by Paul van der Bijl and also consisted of Sybren de Beurs, Jules van de Winckel, Pedro Paraguay and Barbara Nijs.

Linklaters advises on a solar PV plant portfolio refinancing

Delta Solar SAS, one of France's top five solar operators, has successfully refinanced a portfolio of nine photovoltaic parks located in various parts of southern France and Corsica with a total installed capacity of 67.3 MWp. Delta Solar’s ultimate shareholders include Ardian, Bernis Energy, Debiopharm Investment and Nixdorf Foundation, following their acquisition of shares in Delta Solar’s parent, Aloe Energy SAS, in late 2014 through Aloe Invest SAS, a renewable energies investment vehicle.
