Eversheds advises on the Placing and top-up Subscription of Wonderful Sky Financial Group Holdings Limited

The Hong Kong office of law firm Eversheds has advised China Merchants Securities (HK) Co., Limited as the placing agent in connection with the HK$430 million Placing and top-up Subscription of Wonderful Sky Financial Group Holdings Limited (“Wonderful Sky”).

The Placing and top-up Subscription by the controlling shareholder of Wonderful Sky (the “Top-up Subscription”) were successfully completed on 23 April 2015 and 4 May 2015 respectively.

Clifford Chance has advised a group of 13 banks serving as joint placement managers on the international aspects of Malakoff Corporation Berhad's US$769 million (RM2.74 billion) initial public offering and listing on Bursa Malaysia Securities Berhad. The shares were offered globally, including in the US, pursuant to Regulation S and Rule144A. The deal priced at RM1.80 per share.

Hogan Lovells London-based trade and commodity finance team has advised Deutsche Bank on a €250m working capital facility for NLMK Europe Plate Division.

Hogan Lovells advised Deutsche Bank as co-ordinating mandated lead arranger, bookrunner and agent on the €250m revolving collateralised credit facility which is guaranteed by OJSC Novolipetsk Steel (NLMK) and made available to group company borrowers in Belgium and Italy.

Mayer Brown JSM advises Trade and Development Bank of Mongolia on US$500 million notes

Mayer Brown JSM has advised Trade and Development Bank of Mongolia (TDB) in connection with the update and the issuance of US$500 million 9.375 percent notes due 2020 under its Global Medium Term Note Programme established in 2014 guaranteed by the Ministry of Finance on behalf of the Government of Mongolia. This is the first time that TDB has accessed investors in the United States. Deutsche Bank, ING and BofA Merrill Lynch acted as the joint bookrunners and lead managers for the issuance.

White & Case Advises Bank Group on Jin Jiang's Acquisition of Louvre Hotels Group

White & Case LLP has advised a group of Chinese and international banks on facilities of around €1.29 billion for Sailing Investment Co, S.a r.l, wholly-owned by Shanghai Jinjiang International Hotels Development Company Limited, the Shanghai-listed Chinese hospitality management company which is a subsidiary of Chinese state-owned Jin Jiang International Holdings Co., Limited.

The facilities support Jin Jiang International's €1.29 billion acquisition of Europe's second largest hotel chain, Groupe de Louvre (Louvre Hotels Group), from Starwood Capital.

White & Case Advises Banks on €210 Million Sale of Ordinary Shares in Azimut Holding S.P.A.

White & Case LLP has advised Morgan Stanley as Sole Global Coordinator and Joint Bookrunner, and Credit Suisse as Joint Bookrunner, on the sale to institutional investors by Timone Fiduciaria S.p.A. of 7,537,998 ordinary shares in Azimut Holding S.p.A.

The share sale corresponds to approximately 5.26% of the share capital in Azimut and has been carried out through an accelerated book build for an aggregate value of approximately €210 million.
