Dentons advises on Advanced Oncotherapy's £20 million fundraising

Dentons has advised Westhouse Securities and Beaufort Securities as joint brokers on a £20 million fundraising for Advanced Oncotherapy.

Advanced Oncotherapy develops next generation proton therapy systems for cancer treatment. Its fundraising will continue the development of its LIGHT (Linac for Image Guided Hadron Therapy) systems with the first unit expected to be installed in Harley Street, London, by the end of 2016. Patients are expected to begin treatment in 2017.

Ashurst advises UBS on A$612m offer by Seven West Media

Ashurst has advised UBS AG, Australian Branch (UBS) as the underwriter in of an entitlement offer by Seven West Media (SWM) to raise up to A$612 million.

On 29 April, SWM announced it had entered into an agreement with Seven Group Holdings Limited (SGH) which, subject to shareholder approval, enables the early conversion of all of the Convertible Preference Shares (CPS) held by SGH into ordinary shares in SWM at a price of A$1.28 per share.

Slaughter and May advised BHP Billiton Finance Limited, as Issuer, and BHP Billiton Limited, as Guarantor, on BHP Billiton Finance Limited's issue of EUR 600 million 3-month EURIBOR + 0.35% floating rate notes due April 2020, EUR 650 million 0.75% notes due 28 October 2022 and EUR 750 million 1.50% notes due 29 April 2030 under its EUR 20 billion Guaranteed Euro Medium Term Note Programme. All three tranches of notes are guaranteed by BHP Billiton Limited and the proceeds will be used for general corporate purposes.

Morgan Limited as joint global coordinators, lead arrangers and bookrunners, and Citigroup Global Markets Inc., Merrill Lynch Pierce Fenner & Smith Incorporated and Morgan Stanley Senior Funding, Inc. as co-arrangers and co-bookrunners in connection with the addition of an incremental senior secured term facility to its existing cross-border, multicurrency and covenant lite Term Loan B bank financing for certain affiliates of INEOS AG, one of the world's largest chemical companies by revenue.

Oxford college joins universities seeking funding in capital markets

Allen & Overy said today that the debut GBP40 million bond issue by University College in the University of Oxford, one of the leading universities in the world, underlines a shift in how UK higher education institutions access finance.

The bonds, with a maturity date of 2065, are the first to be sold by an Oxford college and will be listed on the London Stock Exchange. The proceeds will be used for general corporate purposes. Oxford follows De Montfort, Cambridge, Manchester and Northampton University in accessing the capital markets.

Hengeler Mueller advises Commerzbank on capital increase

Commerzbank AG today placed approx. 114mio new shares with institutional investors by way of a so-called accelerated bookbuilding process. The placement price was fixed at EUR 12.10 per share. The gross issue proceeds amount to a total of EUR 1.4 billion.

Ashurst advises Jefferies International on Fondul Proprietatea's admission to trading on the LSE

Ashurst advised Jefferies International Ltd as the sole UK financial adviser to Fondul Proprietatea S.A. ("Fondul"), the Romanian closed-end fund, in relation to the admission to trading on the Specialist Fund Market of the London Stock Exchange of Global Depositary Receipts representing interests in the Fondul's shares.

Fondul, the world's fifth largest closed-end fund, consists of a portfolio of Romanian equity securities with assets of over €2.9 billion and has been listed on the Bucharest Stock Exchange since January 2011.

Dentons advises National Bank of Kuwait on US$700 million Additional Tier 1 bond issuance

Kuwait—Dentons advised the Joint Lead Managers on National Bank of Kuwait's issuance of US$700 million Perpetual Tier 1 Capital Securities, completed on 9 April 2015. The Capital Securities were listed on the Irish Stock Exchange and were offered to sophisticated investors.

HSBC and Standard Chartered Bank acted as Global Coordinators, and together with Citigroup, National Bank of Abu Dhabi and NBK Capital, as Joint Lead Managers, on the issuance of the Capital Securities. Union National Bank acted as Co-Lead Manager on the transaction.
