Ashurst advises ANZ on A$150 million debt facility for Senex Energy

International law firm Ashurst advised Australia and New Zealand Banking Group Limited (ANZ), as lender and mandated lead arranger, on a A$150 million reserve-based lending (RBL) facility in favour of Senex Energy Limited (Senex), and subsidiaries, to fund expansionary capital expenditure across its Surat Basin and Cooper Basin oil and gas acreage.

The facility is the first senior reserve-based lending facility for a natural gas project in Australia not backed by LNG.

Gide has advised Societe Generale on three issuances on the Japanese market of Senior Non-Preferred Bonds, all subscribed by Mitsubishi UFJ Morgan Stanley Securities Co., Ltd., Mizuho Securities Co., Ltd., Nomura Securities Co., Ltd., SMBC Nikko Securities Inc. and Societe Generale Securities Japan Limited, acting as joint lead managers.

Gide's team was led by partner Hubert du Vignaux, with senior associate Bastien Raisse and associate Louis Ravaud.

Societe Generale was also assisted by Anderson Mori & Tomotsune on Japanese law aspects.

Clifford Chance advises banking consortium on Qingdao Haier's IPO on German-Chinese stock exchange platform Ceinex

International law firm Clifford Chance advises a banking consortium led by Deutsche Bank AG on the IPO of Chinese household appliance producer Qingdao Haier on the German-Chinese stock exchange platform Ceinex (China Europe International Exchange) in Frankfurt. Qingdao Haier has so far only been listed on the Shanghai Stock Exchange SSE with so-called A-shares and is thus the first company to seek a second listing on the D-shares market since Ceinex was founded in 2015. The D-Shares of the Company are expected to start trading on 24 October 2018.

Herbert Smith Freehills has advised Westpac, as arranger, and a number of institutional lenders including superannuation funds and asset managers in relation to a A$214 million long-term debt raising for the Visy Group.

This was the first time some of these institutional investors have participated in the Australian debt market and the first syndicated loan by Australian institutional investors.

Schulte Advises WMLP Ad Hoc Lender Group in Westmoreland Coal Chapter 11 Cases

Schulte is advising an ad hoc group of secured lenders to Westmoreland Resource Partners LP (WMLP), a subsidiary of Westmoreland Coal Company. In October 2018, WMLP, Westmoreland and certain of their affiliates filed for Chapter 11 protection in the U.S. Bankruptcy Court for the Southern District of Texas, Houston Division. WMLP’s coal operations include mines in Wyoming and Ohio. WMLP is seeking to restructure more than $320 million in secured debt, environmental and labor liabilities.

Baker McKenzie advised Hyundai Capital Bank Europe GmbH as a borrower in relation to a € 200 million loan ('covered loan agreement') provided by ING Bank, a branch of ING-DiBa AG (as arranger, original lender, security agent and facility agent) with Intertrust Trustees GmbH acting as data trustee to guarantee data protection.

Baker McKenzie advised Hyundai Capital Bank Europe GmbH on all legal aspects of the loan.

Cravath represented the initial purchasers, led by Deutsche Bank, Credit Suisse and Jefferies, in connection with the EU1.3 billion 144A/Reg. S high-yield fixed and floating rate senior secured notes offering of Rossini S.a r.l., a Luxembourg-based debt vehicle used by CVC Capital Partners to finance the acquisition of FIMEI S.p.A, a majority owner of Recordati S.p.A, an international specialty pharmaceutical company. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on October 26, 2018.
