Gleiss Lutz advises Goldman Sachs on acquisition of stake in windeln.de

Goldman Sachs has participated as main investor in windeln.de’s latest financing round. Existing investors Deutsche Bank and DN Capital also took part in the financing round, which saw windeln.de raising a further EUR 45 million in capital. 

Following its recent advising of Goldman Sachs on its acquisition of a stake in online eyewear retailer Mister Spex, this is the second time within a relatively short period that Gleiss Lutz has acted for the US investment bank on one of the largest venture capital financing rounds of the past twelve months in Germany. 

WFW advises EFG Hermes on the €160 million acquisition of 49% of French wind energy company EDP Renewables France

Shearman & Sterling Advises on Financing for Nepal's Largest Private Hydropower Project

Shearman & Sterling advised Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden NV (FMO), the Dutch development finance institution, as arranger and a consortium of international and Nepalese lenders on the financing for the 82 MW Lower Solu run of the river hydropower project in the Solukhumbu district in Nepal.

Davis Polk Advises on Haitong Securities’ HK$29.94 Billion H-Share Placing

Davis Polk is advising Haitong International Securities Company Limited, Macquarie Capital Securities Limited, UBS AG Hong Kong Branch and J.P. Morgan Securities plc as joint placing agents on the HK$29.94 billion (approximately US$3.84 billion) placing of H shares by Haitong Securities Co., Ltd (“Haitong Securities”). Completion of the placing is subject to a number of conditions precedent, including the obtaining of approval from Haitong Securities’ shareholders in general and class meetings.

Norton Rose Fulbright has advised BNP Paribas Securities (Asia) Limited as the sole sponsor, sole bookrunner and sole lead manager on the HK$120.6 million Hong Kong IPO of Oriental University City Holdings (H.K.) Limited.

Oriental University City will be listed on the Growth Enterprise Market of the Hong Kong Stock Exchange on 16 January 2015.

Ashurst advises Macquarie Capital on acquisition of an interest in offshore wind farm EnBW Baltic 2

Ashurst advised Macquarie Capital on the acquisition and financing of an 49.89 per cent interest in offshore wind farm EnBW Baltic 2 in the Baltic Sea. The shares were sold by EnBW Energie Baden-Württemberg AG ("EnBW") for €720 million. A corresponding purchase agreement for the acquisition of shares in the future joint company holding the wind farm as well as a shareholder's agreement have now been signed.

Herbert Smith Freehills advises China Merchants Bank on RMB2 billion Medium Term Note Program drawdown

Herbert Smith Freehills has advised China Merchants Bank Co. Ltd. Hong Kong Branch on the second drawdown of its US$5 billion Medium Term Note (MTN) Program established in 2014.

The second drawdown consisted of RMB1 billion Formosa bonds, issued and listed in Taiwan, and another RMB1 billion worth of Lion City bonds, issued and listed in Singapore. The Formosa bonds have a 4.05% coupon and will mature in 2019 while the Lion City bonds have a 3.95% coupon and mature in 2017.

Linklaters advises on Cheung Kong and Hutchison Whampoa’s billion merger and spin off

Linklaters are advising the banks on the recently announced merger of Cheung Kong Holdings Ltd. (“Cheung Kong”) and Hutchison Whampoa Ltd. (“Hutchison Whampoa”) and the subsequent spin off and listing of their property businesses. The deal includes a 6% increase of Hutchison Whampoa’s stake in Husky Energy Inc. The Linklaters team is being led by partner Craig Dally in the Hong Kong office, together with Hong Kong partner Rob Cleaver, US partner, Pam Shores and Managing Associate Alex Bidlake.
