Cuatrecasas, Gonçalves Pereira advises two bank syndicates on financing Adif and Adif Alta Velocidad for €879 million

Adif, a railway infrastructure management company, and Adif Alta Velocidad, have closed a debt-restructuring agreement for €879 million in one of the most important financing transactions between banks and public entities in Spain in 2014.

Cuatrecasas, Gonçalves Pereira has advised the two bank syndicates, whose agents are Banco Popular and Banco Sabadell respectively, on the corporate financing transaction.

Initial Public Offering of iFAST Corporation Ltd

Rajah & Tann Singapore LLP acted as the legal adviser to DBS Bank Ltd and DMG & Partners Securities Pte Ltd, the joint issue managers, bookrunners and underwriters as to Singapore law in respect of the initial public offering and listing of 32,800,000 units in iFAST Corporation Ltd (the “Company”) on the Main Board of the SGX-ST. The market capitalisation of the Company at listing (based on the offering price) was S$243.4million. The Company has also granted an over-allotment option to DBS Bank Ltd. to purchase up to 3,280,000 additional shares.

Freshfields advises on Shengjing Bank IPO

Freshfields Bruckhaus Deringer has advised the underwriters on the US$1.3bn global offering and listing of Shengjing Bank on the Hong Kong Stock Exchange which took place today.

The listing is one of Asia’s largest bank IPOs by value in recent years.

Freshfields advised a consortium of the underwriters on the IPO, led by China Merchants Securities.

The Freshfields team was led by US corporate partner Calvin Lai and corporate partner William Woo, both based in Hong Kong.

Dacheng Advises China Development Bank on Issuance of Tier 2 Capital Bonds

To uplift its capital adequacy ratio and enhance operative capabilities, China Development Bank issued RMB12bln worth of 2014 CDB Tier 2 Capital Bonds at the interbank bond market by means of tendering, with approval from People’s Bank of China and China Banking Regulatory Commission. The ten-year-term unguaranteed bonds would be repaid following payment to depositors and general creditors and before shareholders and other Tier 1 capital instruments and hybrid securities holders.

Freshfields advises on Dalian Wanda Commercial IPO – Hong Kong’s largest IPO in 2014

Freshfields Bruckhaus Deringer has advised a consortium of bookrunners on the US$3.7bn IPO of Dalian Wanda Commercial Properties Co., Ltd (Dalian Wanda Commercial), which listed on the Hong Kong stock exchange today.

The initial offering contained 600,000,000 H-shares at a price of HK$48 (US$6.19) per share and is the largest IPO to take place in Hong Kong during the 2014 calendar year.

Freshfields advised a group of 19 financial institutions in their capacity as joint bookrunners for the listing.

Dechert Advises Creditors’ Committee of JSC Alliance Bank on US$1.3 Billion Restructuring of Financial Indebtedness

A combined team from Dechert’s London and Almaty offices has advised the Steering Committee of international creditors of JSC Alliance Bank, a Kazakhstan based bank, in connection with the restructuring of US$1.3 billion of its financial indebtedness.

Ashurst advises banks on the financing of the acquisition of Intergenia by Host Europe

Ashurst advised HSBC, Lloyds, Société Générale and Unicredit on the financing of the acquisition of the German web hosting supplier Intergenia by the British Host Europe Group ("HEG"), a portfolio company of private equity investor Cinven. The vendor of Intergenia is Oakley Capital. The parties have agreed not to disclose financing volume and purchase price.

Hogan Lovells Advises Jefferies, Berenberg and Shore Capital on Market Tech Holdings Limited AIM Listing and £100M Placing

Hogan Lovells has advised Jefferies, Berenberg and Shore Capital in their capacity as Joint Bookrunners on the IPO of Market Tech Holdings Limited on AIM.
 
Market Tech is a holding company that combines iconic real estate assets with an e-commerce business and owns and manages the main Camden Markets in Central London.

The Placing raised £100 million before expenses, giving Market Tech a market capitalisation of £750 million at the placing price.

White & Case Advises Arranger and Dealers on Annual Update of SIAS' €2 Billion EMTN Programme

White & Case LLP has advised Mediobanca – Banca di Credito Finanziario S.p.A., as arranger and dealer, and Crédit Agricole Corporate and Investment Bank, Société Générale and UniCredit Bank AG as dealers, on the Italian and English law aspects of the annual update of SIAS S.p.A.'s €2 billion Euro Medium Term Note Programme.

SIAS is the main toll road operator in north west Italy, with a network of approximately 1,400km under concession.

Central China Real Estate Limited Consent Solicitation

Davis Polk advised DBS Bank Ltd. and Morgan Stanley & Co. International plc as the solicitation agents in connection with a solicitation of consents by Central China Real Estate Limited from the holders of its 10.75% senior notes due 2016 to certain amendments under the indenture governing such notes. The amendments were made to conform the indenture to the terms of Central China’s 6.5% senior notes due 2017 issued on May 26, 2014.
