Milbank Acts on Highly Successful US$ Reopening of High Yield Notes for Philippine Property Developer

The international law firm Milbank, Tweed, Hadley & McCloy has recently advised on the successful reopening of notes by the Vista Land group. Milbank advised DBS Bank Ltd. (DBS), as international underwriter, on the US$125 million reopening of 7.45% Guaranteed Notes due 2019 (the Notes) by VLL International, Inc., a subsidiary of Vista Land & Lifescapes, Inc. (Vista Land), one of the largest residential property developers in the  Philippines. The Notes were unconditionally guaranteed by Vista Land and other subsidiaries of the Vista Land group.

Hogan Lovells and Willkie Farr & Gallagher Advise on the Financing of the Acquisition of Eurocamp by Homair Vacancies

Hogan Lovells and Willkie Farr & Gallagher have advised on the financing of the acquisition by Homair Vacances of the European camping holiday provider, Eurocamp, from UK-based company Holidaybreak.

This acquisition, which was finalised on Wednesday 10 September 2014, confirms Homair Vacances' position as a European leader in outdoor accommodation, with over 15,000 mobile homes on approximately 300 campsites located principally in France, Spain, Italy and Croatia.

Shearman & Sterling represented Citibank, N.A., as joint lead arranger and administrative agent, in providing $1 billion in financing commitments for the announced $3 billion acquisition by Select Income REIT (NYSE: SIR) of Cole Corporate Income Trust (CCIT) through a merger transaction. UBS Securities LLC will act as a joint lead arranger in the financing.

Marathon Petroleum's $1.95 Billion Registered Senior Debt Offering

Cravath represented the underwriters, led by MUFG, Citigroup and RBS, in connection with the US$1.95 billion registered senior debt offering of Marathon Petroleum Corporation, an independent petroleum refining, marketing and transportation company. The transaction closed on September 5, 2014.

The Cravath team included partners Andrew J. Pitts and D. Scott Bennett, senior attorney G. Douglas Johnson and associates Michael K. Hyun and Melody Koh.

Dechert Advises KGAL on the Sale of its Narrow-Body Aircraft Portfolio

Dechert LLP advised KGAL GmbH & Co. KG, one of Germany’s leading asset management companies, on the US regulatory and tax structuring of the sale of equity investments in 12 Airbus A319 airplanes with leases attached to a US investor as part of share deals. Held mainly through a retail fund and funds with individual investors, the sale led to a capital gain for the investors after an investment period of about one year.

Simpson Thacher Represents Underwriters in Offering of $1.1 Billion of Senior Notes by Linn Energy, LLC

Simpson Thacher represented the underwriters, led by Barclays Capital Inc., in connection with a registered offering by Linn Energy, LLC and Linn Energy Finance Corp. as co-issuers of $650 million aggregate principal amount of 6.5% senior notes due 2021 and $450 million aggregate principal amount of 6.5% senior notes due 2019. The senior notes due 2019 were issued as additional notes under an indenture pursuant to which Linn Energy issued $750 million of 6.5% senior notes due 2019 on May 13, 2011.

The Notes are guaranteed by Santander UK Plc. The Joint Book-Running Managers for the issue were Deutsche Bank Securities Inc., Morgan Stanley & Co. LLC, Santander Investment Securities Inc., UBS Securities LLC and Wells Fargo Securities, LLC.

(DLL), the Dutch life insurance arm of the Delta Lloyd Group, on a transaction with Reinsurance Group of America (RGA) to mitigate longevity risk related to its Dutch life insurance portfolio. It is the first time that DLL has transferred any part of its longevity exposure to the reinsurance market.
