Simpson Thacher Represented the Underwriters in a 1,684,507 Share Equity Offering by Westmoreland Coal Company

Simpson Thacher advised the underwriters on a 1,684,507 share equity offering by Westmoreland Coal Company (“Westmoreland”). BMO Capital Markets and Deutsche Bank Securities were the joint book-running managers for the offering.

Westmoreland is the oldest independent coal company in the United States. Westmoreland’s existing coal operations include sub-bituminous coal mining in the Powder River Basin in Montana and Wyoming, and lignite mining operations in Montana, North Dakota and Texas.

Baker & McKenzie Advises on First Ever Euro-Commercial Paper Program by an Azerbaijani Bank

Baker & McKenzie successfully advised BCP Securities and BNP Paribas as arrangers and permanent dealers on the establishment of a debut USD50 million Euro-commercial paper program (the first ECP program established in Azerbaijan) for Muganbank, a leading commercial bank in Azerbaijan, and the first offering of notes under the program. The proceeds from the issue will be used for the bank’s general corporate purposes.
 

DLA Piper represents underwriters in Trupanion initial public offering

DLA Piper represented the underwriters for Trupanion, a medical coverage provider for pets, in its US$82 million initial public offering on the NYSE, which included shares sold upon exercise of the underwriters’ option to purchase additional shares.

The DLA Piper team representing the underwriters in the Trupanion IPO was led by partner Peter Astiz, global co-head of the firm’s Technology practice, partner Trent Dykes (Seattle) and senior associate Andrew Ledbetter (Seattle), and included associates Kevin Criddle and Kerra Melvin (both of Seattle).

Davis Polk advised RBC Capital Markets, LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as joint book-running managers on an SEC-registered offering by The KEYW Holding Corporation (KEYW) of $130 million aggregate principal amount of 2.5% convertible senior notes due 2019. The underwriters also have an option to purchase up to an additional $19.5 million aggregate principal amount of the notes solely to cover over-allotments. In addition, Davis Polk advised the Royal Bank of Canada and Bank of America, N.A.

Linklaters advises Natixis on the first European Project Bond in the telecoms sector and the first use of EIB’s PBCE instrument in France

Linklaters has successfully advised Natixis as arranger and lead underwriter in connection with the structuring, issuance and placement of the first European Project Bond in the telecoms sector. The €189 million amortising bonds are to be rated Baa2 by Moody’s and listed on Euronext Paris.

Squire Patton Boggs’ Capital Markets team has advised Canaccord Genuity and North Square Blue Oak on the AIM IPO of DJI Holdings plc. DJI, which operates through its subsidiaries as a licensed and authorised distributor and promoter of regulated lottery products in the Chinese lottery market, has been admitted to AIM with a market capitalisation of approximately £130 million.

Ashurst advises OneSavings Bank on its £134 million London IPO

Ashurst has advised OneSavings Bank plc ("OSB"), the specialist lending and savings group, on its successful £134 million initial public offering ("IPO") on the Main Market of the London Stock Exchange. OSB was formed in 2011 following the recapitalisation of the Kent Reliance Building Society by funds advised by J.C. Flowers. OSB serves customers in the UK, Jersey and Guernsey and focuses its specialist lending activities on selected sub-sectors of the lending market.

WFW advises Crédit Agricole Corporate and Investment Bank on a US$239,600,000 term loan facility

Watson, Farley & Williams (“WFW”), has advised Crédit Agricole Corporate and Investment Bank (“Crédit Agricole”) on a US$239,600,000 term loan facility to subsidiaries of funds managed by Oaktree Capital Management, LP to finance the purchase of 10 new vessels. Two of the 5,400 TEU container vessels have already been delivered, while the rest are being built by Hanjin Heavy Industries Corporation Philippines and will be delivered by the first half of 2015.

Clifford Chance advises on US$295 million IPO of Icon Offshore Largest IPO in Malaysia this year

Clifford Chance has advised the underwriters – Maybank Investment Bank Berhad, BNP Paribas and Credit Suisse -- on the international aspects of Icon Offshore Berhad's US$295 million Reg S IPO on the Main Market of Bursa Malaysia Securities Berhad. Icon Offshore is Malaysia's largest pure-play Offshore Support Vessel operator.

"We were delighted to assist on the international aspects of this successful IPO, the largest so far this year in Malaysia," said Raymond Tong, who led on the deal.
