BankUnited, Inc $397.1 Million Block Trade

Davis Polk advised Goldman, Sachs & Co. as the underwriter on the SEC-registered $397.1 million secondary block trade of 11,853,276 shares of common stock of BankUnited, Inc. sold by investment funds affiliated with The Blackstone Group, The Carlyle Group, Centerbridge Partners, L.P. and WL Ross & Co. LLC. BankUnited's common stock is traded on the New York Stock Exchange under the symbol "BKU."

European Investment Bank's $5 Billion Registered Debt Offering

Cravath represented European Investment Bank in connection with its US$5 billion registered debt offering. The European Investment Bank is a long-term financing institution of the European Union. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on March 5, 2014.

The Cravath team included partner Philip J. Boeckman and associates Gemma Mootoo Rajah and Giacomo Reali.

State Street Corporation's Preferred Stock Offering

Cravath represented the underwriters, led by Morgan Stanley, BofA Merrill Lynch, Goldman, Sachs & Co. and Wells Fargo Securities, in connection with the US$750 million offering of depositary shares representing preferred stock of State Street Corporation, a provider of a broad range of financial products and services to institutional investors worldwide. The shares were listed on the New York Stock Exchange. The transaction closed on March 4, 2014.

Xilinx, Inc. $1 Billion Notes Offering

Davis Polk advised J.P. Morgan Securities LLC as the sole book-running manager on the SEC-registered offering by Xilinx, Inc. of $500 million of its 2.125% senior notes due 2019 and $500 million of its 3.000% senior notes due 2021. 

Headquartered in San Jose, California, Xilinx designs, develops and markets programmable devices and associated technologies, including advanced integrated circuits in the form of programmable logic devices, software design tools and predefined system functions delivered as intellectual property. 

Clifford Chance advises Malaysia Airport on US$298 million share placement

Clifford Chance has advised Malaysia Airport Holdings Berhad on the international law aspects of its placement of approximately 124 million new shares, raising approximately US$298 million (MYR980 million). CIMB, Credit Suisse (Singapore) and JP Morgan Securities (Malaysia) acted as placement agents on this transaction.

The funds raised will be used to acquire a 40% stake in Turkish airports, Istanbul Sabiha Gökçen International Airport and similar stake in LGM Havalimani Isletmeleri Ticaret Ve Turizm AS.

Paul, Weiss Achieves Trial Victory for Aurora Commercial Corp.

Paul, Weiss achieved a major victory for our client Aurora Commercial Corp., formerly known as Aurora Bank, FSB (Aurora), when the District Court of Denver County, Colorado rejected all of the claims of plaintiff Allonhill, LLC (Allonhill), and ruled in Aurora's favor on its breach of contract and fraud counterclaims against Allonhill, awarding Aurora approximately $26 million, plus interest.

Men’s Wearhouse to Acquire Jos. A. Bank Clothiers

Davis Polk is advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as financial advisers to The Men’s Wearhouse, Inc. in connection with its definitive agreement to acquire Jos. A. Bank Clothiers, Inc. for $65.00 per share in cash, or total consideration of $1.8 billion. The transaction, which is expected to close by the third quarter of 2014, is subject to satisfaction of customary closing conditions.

Irwin Mitchell Advises On Augean's £15m Refinance

Wetherby-headquartered waste management group Augean has today completed a £15 million refinancing, backed by HSBC’s Yorkshire Corporate team in Leeds and advised on by law firm Irwin Mitchell.

The increased level of funding enables Augean to drive organic growth by expanding their range of services and capabilities targeted at the oil and gas industry, as well as nuclear waste market. The deal was led on behalf of HSBC by Senior Corporate Banking Manager Wayne Shadlock.
