DLA Piper advises on Hong Kong flotation of Magnum Entertainment

DLA Piper today announces that it has advised the sponsor and underwriters of Magnum Entertainment Group Holdings Limited ("Magnum Entertainment") on its HK$126 million flotation on the Main Board of The Stock Exchange of Hong Kong Limited (Stock Code: 2080). Magnum Entertainment is the operator of the largest group of clubbing venues in Hong Kong, by gross floor size and premise capacity.

Milbank Represents Export Development Canada in Inaugural $300M Offering of “Green” Bonds to Support Environmental Projects

Milbank, Tweed, Hadley & McCloy LLP has represented Canada’s export credit agency Export Development Canada (EDC) in its inaugural offering of green bonds, whose proceeds will support the agency’s lending to environmentally beneficial initiatives worldwide.

The $300 million offering of 0.875% bonds due 2017 closed on January 30.  It is one of the first SEC-registered green bond issuances. J.P. Morgan Securities plc and SEB Securities, Inc. acted as underwriters.

Latham & Watkins Advises on Loan to German Car Parts Retailer ATU Group

Latham & Watkins has advised independent finance company HayFin Capital Management LLP (Hayfin) on its €75 million loan to Auto-Teile-Unger (A.T.U.) Group, a German car parts retailer. A.T.U. Group has just recently completed a restructuring of its financial obligations and equity structure under the UK administration process.

Norton Rose Fulbright advises on €3.1 billion worth of motorway restructurings in Greece

Global legal practice Norton Rose Fulbright has advised on two motorway restructurings, the Maliakos-Kleidi and the Elefsina-Korinthos-Patras-Pyrgos-Tsakona motorways in Greece, with a combined value of €3.1 billion.

Norton Rose Fulbright advised on all legal aspects of the restructurings.

London banking and finance partner Madhavi Gosavi led the restructurings, together with partners Charles Whitney, Jeffrey Barratt and Peter Hall. They were assisted by Ann Vesely, Phil Hanson, Christina MacGilp, Ben Sealy, Eleanor Cochrane and Jessica Bethell-Jones.

Eversheds Italy advises Italian banks on San Giorgio group restructure

Eversheds has advised a pool of Italian banks led by Unicredit S.p.A. on a debt restructuring agreement for San Giorgio S.r.l and its Group of companies, including New Jersey Srl and Imprenditori Riuniti S.p.A.

The financial restructuring covered in particular the restructuring of senior loan facilities for the development and construction of the shopping mall "Le Centurie " located in San Giorgio delle Pertiche (PD), Italy, and was supported by the "San Giorgio Financial Plan 2013-2027," prepared by the management of the company.

Mayer Brown JSM advises Trade and Development Bank of Mongolia LLC on Mongolia’s first “dim sum” bond offering

Mayer Brown JSM today said it has advised Trade and Development Bank of Mongolia LLC (“TDB”) in connection with its issuance of CNY700 million 10.00 percent Notes due 2017 pursuant to its existing US$700 million Euro Medium Term Note Programme. This transaction marks the first “dim sum” bond to be issued from Mongolia, and TDB plans to use the proceeds for general lending and investment purposes.

White & Case Advises Industrial and Commercial Bank of China Ltd on Acquisition of Majority Stake in Standard Bank plc

Global law firm White & Case LLP has advised the Industrial and Commercial Bank of China Limited (ICBC), the world's largest bank by assets, on its acquisition for around US$770 million of a majority stake in Standard Bank plc (SB plc).

ICBC has agreed to buy 60 percent of the existing issued shares in SB plc from Standard Bank London Holdings Limited, an intermediate holding company of South Africa's Standard Bank Group Limited (SBG) which is established in the UK and the direct shareholder of SB plc, by means of a Share Purchase Agreement.
