Latham & Watkins Leads on First IPOs of 2014

Latham’s Capital Markets teams ushered in the first IPOs of 2014. The firm advised Jefferies on the IPO of biotech company GlycoMimetics that was the first IPO to list on NASDAQ in 2014. The firm also advised Cypress Energy Partners on their IPO, which was the first IPO to list on the NYSE in addition to being the first Master Limited Partnership IPO of 2014. Paul Hastings Advises Underwriters on China Overseas’ US$400 Million Guaranteed Notes Offering

Paul Hastings announced today that the firm represented UBS, Merrill Lynch International, DBS Bank, ICBC International and Macquarie as the joint lead managers in the issuance of US$400 million 5.125% guaranteed notes (the “Notes”) due 2019 issued by China Overseas Grand Oceans Finance II (Cayman) Limited and guaranteed by China Overseas Grand Oceans Group Ltd (“China Overseas” or the “Company”).

Paul Hastings LLP represented the banks on the financing of private equity firm Hellman & Friedman LLC’s purchase of Applied Systems Inc., a leading insurance software provider.

Credit Suisse AG and Cayman Islands Branch acted as administrative agents and Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., Jefferies Finance LLC and UBS Securities LLC acted as joint lead arrangers and joinder bookrunners in connection with the financing.

Standard Chartered - issue of Fixed-to-Fixed Rate Lower Tier 2 Notes

Slaughter and May advised Standard Chartered PLC on its issue of SGD700,000,000 Callable Fixed-to-Fixed Rate Subordinated Notes due 2026 under its US$57,500,000,000 Debt Issuance Programme. Standard Chartered Bank acted as the sole lead manager and ICBC Asia, Maybank Kim Eng Securities Pte. Ltd and United Overseas Bank Limited acted as co-managers.

Clifford Chance advises banking consortium on EUR 2 billion bond launched by Bayer AG

Clifford Chance has advised a banking consortium led by Barclays, Commerzbank, Merrill Lynch and Société Générale in connection with a bond issue in a total volume of EUR 2 billion by Bayer AG, Leverkusen.

The bond was launched in three tranches, namely two fixed-interest coupons and one floating rate coupon. The term of these bond tranches is between two and seven years.

The Clifford Chance team comprised partner Sebastian Maerker and associates Sven Kurzawe and Said Ashrafnia (all Banking & Capital Markets, Frankfurt).

White & Case Advises Intesa Sanpaolo on US$2.5 Billion Yankee Bond Issue

White & Case LLP has advised Intesa Sanpaolo S.p.A. on a US$2.5 billion issuance of Yankee bonds under its US$15 billion Medium Term Note Programme.

The issue consists of a US$1.5 billion, 2.375 percent three-year tranche and a US$1.0 billion, 5.25 percent ten-year tranche. The notes placed in the U.S. and Canadian markets will be issued by Intesa Sanpaolo S.p.A. and guaranteed by its New York branch, in accordance with Section 3(a)(2) of the U.S. Securities Act.

Taylor Wessing advises on one of Jordan's biggest banking deals

Taylor Wessing acted for Arab Jordan Investment Bank (AJIB) on its exchange of contracts on 20 January 2014 with HSBC Bank Middle East to acquire HSBC's business and assets in Jordan. The transaction is expected to complete during the first half of 2014. It is one of the biggest banking deals that Jordan has ever seen.

AJIB has agreed to pay an undisclosed sum for the business, which at 30 September 2013 comprised four branches with gross assets of approximately $1.2 billion.
