Allen & Overy advises J.P. Morgan Securities plc in connection with capital increase of MorphoSys AG

Allen & Overy LLP advises J.P. Morgan Securities plc in connection with the capital increase of MorphoSys AG raising gross proceeds of approximately EUR 84 million in a private placement via an accelerated book building procedure. MorphoSys AG issues 1,514,066 new shares from authorized capital to international institutional investors at a price of EUR 55.76 per share. The offering represents approximately 6.3% of the registered pre-transaction share capital of MorphoSys AG.

Clifford Chance advises EBRD on EUR 48 million wind farm financing

International law firm Clifford Chance has advised the European Bank for Reconstruction and Development on a loan of up to EUR 48 million to LLC “Novoazovskiy Wind Park”. The proceeds of the financing will help to develop a 57.5 MW Novoazovsk Wind Farm located in Donetsk region.

This project is one of the first “limited recourse” finance deals in Ukraine. This financing is expected to promote renewable energy in Ukraine, as well as to improve environmental standards in the Ukrainian energy sector overall.

Milbank Represents Underwriters in $2.5B Notes Offering by Colombia’s Ecopetrol

In one of the largest corporate bond offerings in Latin America of 2013, Milbank, Tweed, Hadley & McCloy LLP has represented underwriters in a $2.5 billion offering of senior notes issued by Colombia’s state-owned and primary oil and gas producer and exporter Ecopetrol S.A.

The notes were offered in three separate tranches bearing interest rates of 4.250% due 2018; 5.875% due 2023; and, 7.375% due 2043.  The underwriter group consisted of Bank of America Merrill Lynch and Morgan Stanley.

Ashurst advises Société Générale and AXA REIM on the refinancing of Deutsche Annington real estate portfolios

Ashurst has advised French commercial bank Société Générale S.A. and real estate fund manager AXA Real Estate Investment Managers SGP ("AXA REIM") on the refinancing of two real estate portfolios owned by subsidiaries of Deutsche Annington SE. The portfolios, known in the market under the names of "Hoover" und "Adams", comprising approx. 4,700 and 2,600 units respectively, are two out of a total of 18 portfolios of Deutsche Annington SE's so-called "GRAND" real estate portfolio.

Dentons in Poland advises on financing of AmRest group

Dentons advised a consortium of 4 Polish banks (PEKAO, BZ WBK, Rabobank, ING Polska) in connection with a €250 million financing for the organic growth of the listed company AmRest Holdings S.E. and the whole AmRest group in Poland, as well as in many other European countries, including Russia, Czech Republic, Spain and Hungary. The facility agreement also included refinancing of the existing debt of AmRest group.
