Shearman & Sterling Advising the Banks on Olympique Lyonnais Groupe’s Subordinated Mandatory Convertible Bonds Offering

Olympique Lyonnais Groupe announced the launch of an offering, with shareholders’ preferential subscription rights, of subordinated mandatory convertible bonds into new and/or existing shares (OSRANE) for a total nominal amount of €80,250,200, for which subscription is fully underwritten by Pathé and ICMI, its two reference shareholders.

The OSRANE will be redeemed on July 1st, 2023. The subscription period has begun since August 1, 2013 and will run to the close of trading on August 14, 2013. The listing of the OSRANE on Euronext Paris is expected on August 27, 2013.

Davis Polk advised Goldman Sachs Bank USA as lead arranger, bookrunner and syndication agent in connection with the refinancing of Hologic, Inc.’s existing tranche B term loan facility with $1.49 billion in new tranche B term loans, which, along with its $975 million tranche A term loan facility and $300 million revolving credit facility, both of which were refinanced in March 2013, had been originally borrowed in August 2012.

The Firm represented the initial purchasers, led by J.P. Morgan Securities LLC, in connection with a Rule 144A offering by Gannett Co., Inc. of $600 million of 5.125% Senior Notes due 2020.

Gannett Co., Inc. (NYSE: GCI) is an international media and marketing solutions company, with a portfolio that includes USA TODAY and CareerBuilder.

Simpson Thacher Represents Travelex on its £350 Million Senior Secured Notes Offering and Revolving Credit Facility

Simpson Thacher represented a finance subsidiary of Travelex in connection with a Rule 144A and Regulation S offering of £200 million aggregate principal amount of its 8% Senior Secured Notes due 2018 and £150 million aggregate principal amount of its Senior Secured Floating Rate Notes due 2018. Additionally Simpson Thacher represented a subsidiary of Travelex in connection with its entry into a new £90 million Revolving Credit Facility. The transaction closed on August 1, 2013. Travelex used the net proceeds from this offering to refinance outstanding indebtedness.
