BeiGene Ltd. HK$7.08 Billion (US$903 Million) Public Offering on the Hong Kong Stock Exchange

Davis Polk advised the underwriters and the joint global coordinators in the public offering of BeiGene, Ltd. on the Hong Kong Stock Exchange. The gross proceeds from the offering amounted to approximately HK$7.08 billion (US$903 million) prior to the exercise of the over-allotment option.

ORIX Aviation—a subsidiary of leading Japanese financial services group ORIX Corp.—has turned to Pillsbury for guidance on its high profile agreement to purchase a 30% stake in Avolon Holdings Ltd. The $2.2 billion transaction is expected to close in the fourth quarter of 2018.

Mayer Brown advises HSBC on commercialising ‘Know Your Client’ software solution

Mayer Brown advised HSBC on a project to sell and monetise a “Know Your Client” software solution.

The solution combines robotic process automation and machine learning technologies to significantly reduce the time it takes to check the compliance status of clients. The technology was created for and owned by HSBC and is to be developed and marketed to banks and other financial services companies through a joint venture with outsourcing company EXL.

White & Case Advises NORD/LB on Financing of Subsidy-Free Spanish Solar Park

Global law firm White & Case LLP has advised NORD/LB Norddeutsche Landesbank, as mandated lead arranger and lender, on the €100 million financing for the construction of the 174 MWp Don Rodrigo solar park in Spain.

The plant will be built by BayWa r.e. renewable energy GmbH, a subsidiary of BayWa AG, and is expected to be commissioned at the end of 2018. It is being built in an area covering around 265 hectares near Seville in southern Spain and will generate approximately 300 GWh of solar power annually.

White & Case Advises UniCredit Bank on Update of Banca Sella's €1 Billion EMTN Programme

Global law firm White & Case LLP has advised UniCredit Bank AG, as sole Arranger and Dealer, on the update of Banca Sella S.p.A.'s €1 billion Euro Medium Term Note Programme.

The programme was amended to allow the bank to issue Senior Non-Preferred Notes, which will be listed on the Luxembourg Stock Exchange.

The White & Case team which advised on the transaction comprised partners Michael Immordino (London & Milan) and Ferigo Foscari, local partner Paul Alexander, associates Angelo Messore and Davide Diverio and lawyer Marco Sportelli (all Milan).

Sands China $5.5 Billion Notes Offering

Davis Polk advised the joint book-running managers in connection with a Rule 144A/Regulation S notes offering by Sands China Ltd. of $1.8 billion of its 4.600% senior notes due 2023, $1.8 billion of its 5.125% senior notes due 2025 and $1.9 billion of its 5.400% senior notes due 2028. Sands China intends to use the net proceeds from the offering to repay outstanding term loans under its existing credit facility and for general corporate purposes, including capital expenditures.
