International law firm Ashurst advised NatWest Markets plc, Lloyds Bank plc and Ulster Bank Ireland DAC on €300 million underwritten term and revolving facilities for Applegreen plc, a major petrol forecourt retailer headquartered in Ireland, to be used to finance its proposed acquisition of a majority stake in Welcome Break and to refinance existing facilities.

Willkie Advises Mandated Lead Arrangers in FNG Acquisition

The firm advised on the first lien financing for the Astorg-backed group, SGG’s acquisition of First Names Group from AnaCap Financial.

Cango Inc. Initial Public Offering and NYSE Listing

Davis Polk advised the representatives of the underwriters on the SEC-registered initial public offering by Cango Inc. of 4,000,000 American Depositary Shares, each representing two Class A ordinary shares, for total proceeds of $44 million. Cango has granted the underwriters an option to purchase up to an additional 600,000 ADSs. The ADSs are listed on NYSE under the symbol “CANG.”

Endava plc $145 Million Initial Public Offering

Davis Polk advised the representatives of the several underwriters in connection with an initial public offering of 7,291,000 American Depository Shares, each representing one Class A ordinary share of Endava plc, including all ADSs subject to the underwriters’ option to purchase additional ADSs. Endava issued and sold 3,228,995 ADSs and certain existing stockholders sold an additional 4,062,005 ADSs. Endava’s ADSs are listed on the New York Stock Exchange under the symbol “DAVA.”

Herbert Smith Freehills advises Clean Energy Finance Corporation on A$150m equity investment

Herbert Smith Freehills has advised the Clean Energy Finance Corporation (CEFC) on its A$150 million equity investment in the Morrison & Co Growth Infrastructure Fund. 

The Fund aims to acquire and develop assets with potential for substantial improvements in energy efficiency, including renewable energy, hospitals, and aged care accommodation.

The team from Herbert Smith Freehills advising CEFC comprised partner Fiona Smedley and senior associate Yorick Ng.

TLT acts on sale of Stagecoach Theatre Arts

TLT has advised Encore Capital and the management shareholders of portfolio company Stagecoach Theatre Arts on its sale to Trafalgar Entertainment Group.

The team advised on every stage of the transaction, culminating in a very significant return for Encore. TLT has advised Encore on several other major transactions in recent years, including the sale of email marketing software company Pure360 to Scottish Equity Partners, and the acquisition of The Third Space health club group from Graphite Capital.

Allen & Overy advised the Lead Arrangers including Credit Suisse, Goldman Sachs, Bank of Montreal, Deutsche Bank, RBC Capital Markets and Credit Agricole in connection with a $3.7 billion debt financing package for Brookfield Business Partners' acquisition of Westinghouse Electric Company ("WEC"), a leading global provider of infrastructure services to the power generation industry.

Ashurst advises banks on refinancing of Sonnedix photovoltaic portfolio

International law firm Ashurst advised the lenders on the €157.8 million refinancing of a portfolio of 23 photovoltaic plants in Italy with a total installed capacity of 47.3 MW, owned by Sonnedix Santa Lucia S.r.l, a subsidiary of the Sonnedix group.

The financing included long-term bank debt and a debt service reserve facility. Banco Santander, S.A., Milan Branch, Natixis S.A., Milan Branch and UBI Banca S.p.A. acted as lender and mandated lead arranger. UBI Banca S.p.A. also acted as facility agent and account bank.
