WFW advises lenders on acquisition of Mitsui’s shares in “Vientos Los Hercules” Argentine onshore wind farm

Watson Farley & Williams (“WFW”) has advised a syndicate of lenders comprising DEG – Deutsche Investitions- und Entwicklungsgesellschaft mbH, Kreditanstalt fur Wiederaufbau and Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V., as well as KfW IPEX-Bank GmbH as arranger and agent, on the acquisition by Mitsui & Co. (“Mitsui”) of a minority stake in the “Vientos Los Hércules” onshore wind farm project located in the southern Argentine province of Santa Cruz.

G+T advises Shaw and Partners on partial sale to EFG International

Gilbert + Tobin has advised Shaw and Partners Limited (Shaw and Partners) on the sale of 51 per cent of its shares to SIX Swiss Exchange-listed EFG International and associated shareholder arrangements.

The transaction, announced today, represents a significant milestone for Shaw and Partners and adds broad international reach to the investment and wealth management firm which currently has c. $16 billion of funds under advice.

DLA Piper advises Jyske Realkredit on issue of covered bond

DLA Piper has advised Jyske Realkredit on the issue of Covered Bonds (SDOs) for EUR 500,000,000.

The bonds are issued under Jyske Realkredit's existing base prospectus and are admitted to trading on the stock exchange in Ireland.

DLA Piper has advised on Danish law in connection with the issue, including the preparation of supplement to Jyske Realkredit's base prospectus and the transaction documentation. The bonds have been sold by a consortium of Nordea, Credit Suisse, Dekabank Deutsche Girozentrale, Landesbank Baden-Württemberg and Jyske Bank.

Milbank Advises on Oil Export Financing in Brazil

Milbank LLP advised ICBC in connection with a credit facility to PetroRio, a Brazilian oil company, through an export pre-payment agreement, in a transaction that closed on March 1, 2019.

ICBC based the credit assessment on an offtake agreement that PetroRio has with Chinese oil company Petro China.  PetroRio will use a portion of the proceeds from its sale of crude oil to Petro China to pay off the loan from ICBC. Petro China is one of China’s largest oil companies and is the listed arm of state-owned China National Petroleum.

Orrick advised Societe Generale and Allianz Global Investors in connection with the public-private partnership project of the "Metropole Nice Cote d'Azur" regarding the design, construction, financing, maintenance, major maintenance and renewal for 35 years of the new "Marche d'interet national" (National Interest Market, similar to the famous Rungis International Market in Paris) of the city of Nice, transferred to La Baronne in La Gaude.

Global law firm White & Case LLP has advised Goldman Sachs on its primary and secondary minority investment in Modanisa Elektronik Magazacilik ve Ticaret Anonim Sirketi (Modanisa), the Turkey-based online retailer of modest fashion for women in the Muslim world.

White & Case partner Marcus Booth, who co-led the Firm's cross-border and cross-practice deal team, said: "White & Case has a strong and longstanding relationship with Goldman Sachs, and this complex transaction is the latest in a string of successful M&A deals on which we've advised."

Norton Rose Fulbright advises on financing of 81MW Hedet Wind Power Project in Finland

Global law firm Norton Rose Fulbright has advised KFW IPEX Bank GmbH and Skandinaviska Enskilda Banken AB (PUBL) on the financing of the Hedet wind power project, which has been developed by Neoen and Prokon Finland. The financing was signed on December 19, 2018.

Hedet wind farm is based in Finland, and the output of the farm will be sold to Google under a corporate PPA. The wind farm will generate 81MW of electricity, with Nordex acting as turbine supplier and EPC contractor.

Global law firm Norton Rose Fulbright has advised Starling Bank on its recent fundraising.
Starling Bank, a leading digital banking platform, has raised £60 million in a Series C funding round led by Merian Global Investors. Starling also raised a further £15m from its existing seed investor Harald McPike, a Bahamas-based hedge fund investor.
