Blackstone to Acquire Hotel Investment Partners

Simpson Thacher is advising Blackstone Real Estate Partners V in connection with its acquisition of Hotel Investment Partners (“HI Partners”), a subsidiary of Banco Sabadell, for €630.7 million (US$744.2 million). HI Partners owns a portfolio of 14 primarily coastal hotels with over 3,700 rooms in Spain’s most popular tourism destinations. The transaction is subject to customary closing conditions and regulatory approvals.

The Simpson Thacher team includes Wheatly MacNamara, Tom Lloyd and Alexandra Morris (Real Estate).

Clifford Chance advises GSO Capital Partners on the fundraising for GSO Diamond Portfolio Fund

Clifford Chance advised GSO Capital Partners LP (“GSO”), the global credit investment platform of The Blackstone Group L.P., on the fundraising of an opportunistic credit fund, GSO Diamond Portfolio Fund. The fundraising process took less than two months and resulted in a "one and done" fund closing on approximately US$950 million in capital commitments.

BLP advise on sale of Retirement Villages Group to AxA

A multidisciplinary team from Berwin Leighton Paisner (BLP) have advised on the sale of Retirement Villages Group, the UK’s largest retirement village operator with 14 active communities and a pipeline of developments. The buyers were AxA, the French institutional investment group (which will operate the village developments) and the UK’s largest care home operator, HC-One Limited (which will operate the regulated care home business).

Gide advised Gecina on its tender offer on three series of notes due respectively in 2019, 2021 and 2023, for a total amount of approximately EUR 274 million.

Simultaneously, Gecina issued EUR 700 million 1.375 per cent. notes due in 2028 and admitted to trading on the regulated market of Euronext Paris.

Gide’s team was led by Arnaud Duhamel (partner), assisted by Laurent Vincent (counsel), Aude-Laurène Dourdain and Louis Ravaud.

The bank syndicate was assisted by Allen & Overy.

Freshfields advises HOCHTIEF on the takeover of Abertis

Freshfields Bruckhaus Deringer LLP (Freshfields) advises HOCHTIEF AG (HOCHTIEF) on its intended takeover of Abertis Infraestructuras, S.A. (Abertis).
 
The transaction is intended to be implemented by way of a voluntary takeover offer to the Abertis shareholders. The offer made by HOCHTIEF consists of a combination of a cash payment and the exchange of Abertis shares into HOCHTIEF shares, and provides for a total consideration in a double-digit billion amount.
 

Greenberg Traurig Germany advises Carlyle on the sale of "The East"

Greenberg Traurig Germany advised The Carlyle Group (Carlyle) on the sale of the project development "The East" in Frankfurt's East End. The ensemble of buildings was sold to the Zurich Group by way of a share deal.

"The East" offers a total of 52,000 square meters of floor space and combines residential and office units, retail space and a hotel. The property is located in an urban area that is to be further developed.
