Bär & Karrer Advises Tellco Vorsorge in the Acquisition of Dominick Company

Tellco Vorsorge AG has acquired all shares in Dominick Company AG, a Swiss private bank based in Zurich, from its sole shareholder.

Bär & Karrer acted as legal adviser to the buyer in this transaction. The team included Christoph Neeracher, Philippe Seiler and Yves Suter (all M&A), Peter Hsu, Daniel Flühmann and Tiffany Ender (all Banking & Finance), Susanne Schreiber and Cyrill Diefenbacher (both Tax), Markus Wang and Jonas Bornhauser (both IP) as well as Mani Reinert (Competition).

Norton Rose Fulbright advises on $50 million portfolio purchase by Japan’s Prince Hotels of the Staywell Hospitality Group

A cross-border team from global law firm Norton Rose Fulbright acted as legal adviser to Savills on behalf of the Japanese Hotel chain, Prince Hotels, Inc. on the $50 million acquisition of the Staywell Hospitality Group portfolio. The acquisition, which includes the Park Regis and Leisure Inn brands, is one of the largest Australian hotel M&A deals of 2017.

Eversheds Sutherland has advised the Munich based German team of BNP Paribas Real Estate Investment Management (REIM) on the sale of Pinners Hall to an Asian investor.

The prominent corner building is situated in the heart of the City of London and encompasses just over 10,000 sqm of rental space. Its main tenants are Deutsche Bank, British Bankers’ Association and Banco do Brasil.

Eversheds Sutherland advised on all legal aspects of the sale, including the exchange of contracts within a stringent timescale.

Linklaters has advised Echo Investment SA (acting through its SPV) in connection with the forward sale of Sagittarius Business House office building in Wroclaw for Warburg-HIH Invest Real Estate GmbH acting on behalf of the German pension fund.

Linklaters Warsaw has provided comprehensive legal advice and support to the seller in all major legal aspects of the deal, from the preparation and negotiations of transaction documents until its signing. The closing of the transaction is subject to fulfillment of customary conditions precedents and is expected to occur in 2018.

Concorde Group is the largest provider of translation and interpreting services in the Netherlands. Burrough B.V. provides specialised legal translation and interpreting services to law firms and other legal professionals. With the acquisition of Burrough, Concorde Group has strengthened its position within the legal industry and added another discipline to its wide variety of translation and interpreting services.

Baker McKenzie advises Singha Estate on USD 230 million convertible bond offering and share placement

Baker McKenzie acted as Thai and English law counsel to Singha Estate Public Company Limited on its dual-track offering of USD 180 million of convertible bonds and USD 50 million of shares, which comprised 400 million ordinary shares, under Regulation S. The new USD 180 million non-call three CBs are due August 2022. This is the largest convertible bond offering by a Thai company since 2014. The CBs are backed by a standby letter of credit issued by Krung Thai Bank and the transaction also had a stock borrow feature.

Ashurst advises DIC Asset AG on successful issue of €130m corporate bond

Ashurst advised DIC Asset AG (DIC) on the placement of its successful corporate bond issue.

The five-year bond has a volume of €130 million, and is listed on the official list of the Luxembourg Stock Exchange and admitted for trading on the regulated market of Bourse de Luxembourg. The bond was placed with institutional investors in Germany via a private placement.

Park 20|20 is a Cradle to Cradle-inspired office park in Hoofddorp that is being developed for VolkerWessels and Reggeborgh by the Delta Development Group.
 Houthoff Buruma advised Park 20|20 on the turnkey sale of the NOW office building in Hoofddorp to Standard Life Investments. On completion, the office building was leased to Swiss RE, Macaw and Sony. The purchase price for the NOW building was approximately EUR 22 million. SLI was advised by Loyens & Loeff.

Osborne Clarke advises Barratt Homes first scheme to access new Sutton District Energy Network

Osborne Clarke has advised Barratt Developments on the completion of the first development scheme in the London Borough of Sutton to access the Sutton District Energy Network (SDEN).

The development scheme is the UK’s first to combine so many different components including: a private housing developer, third party heat source, rail crossing for the heat pipe network infrastructure and a local authority owned Energy Supply Company.
