Hogan Lovells acts for U+I in its new €300m joint venture with U.S. firm Colony NorthStar Inc.

Hogan Lovells has advised U and I Group PLC (U+I), a specialist regeneration and property developer, on its new 50:50 joint venture platform (the partnership) with a controlled affiliate of Colony NorthStar Inc. (Colony NorthStar).  The new partnership is a specialist platform that will invest up to €300m in the London City Region, Manchester and Dublin office markets.  Based in the U.S., Colony NorthStar is a leading global real estate and investment management firm.

Trowers & Hamlins advises on Apache Capital Partners/Moda Living JV’s Angel Gardens PRS scheme

Trowers & Hamlins LLP has advised Angel Gardens Property Company Limited on an £85m senior loan facility with Deutsche Pfandbriefbank AG to finance the development of a landmark 34-storey tower, comprising 466 premium private rented sector (PRS) apartments, in Manchester city centre.

On 12 January 2017, IMMOFINANZ AG invited the holders of its EUR 515.1 million 4.25% senior unsecured convertible bonds due 2018 to convert their outstanding bonds into ordinary IMMOFINANZ shares and ordinary BUWOG shares or to accept payment of a corresponding cash settlement in exchange for their BUWOG shares. This conversion offer was limited to 45% of the nominal amount of outstanding bonds and was not addressed to retail investors.

Olswang advises BMO Real Estate Partners on £191m portfolio acquisition from British Land

Olswang has advised clients of the leading property asset management specialist BMO Real Estate Partners (BMO REP) on a £191 million real estate portfolio acquisition of three retail assets across the UK: the flagship Debenhams store in Manchester, Clifton Moor Shopping Centre in York and Westgate Retail Park in Wakefield.

The deal sees clients of BMO REP acquiring the assets from British Land via the purchase of their respective corporate holding vehicles.

Darrois Villey Maillot Brochier advised Eurosic in the context of the litigation with Gecina

By a ruling dated 12 January 2016, the Paris Court of Appeal put an end to the battle between Gecina and Eurosic to acquire control of Foncière de Paris. After the deadline to appeal the AMF decision which had cleared Eurosic’s tender offer as compliant, Gecina and the ADAM had asked the AMF withdraw such decision, alleging that it would have been fraudulently obtained. The AMF having refused to do so, Gecina and the ADAM had brought the dispute before the Paris Court of Appeal. The Court rejects their appeal.

Darrois Villey Maillot Brochier advised American Tower Corporation, a leading independent owner, operator and developer of communications real estate with more than 144,000 sites in the United States, Mexico and Canada, and PGGM, the Dutch pension fund manager, on their entry into a definitive agreement with Antin Infrastructure Partners to acquire 100% of FPS Towers, for total consideration of approximately 697 million Euros (approximately $726 million at the current exchange rate) through ATC Europe, the previously announced joint venture of American Tower Corporation and PGGM.

Dentons advises CPI Property Group on CEE retail portfolio acquisition

CPI Property Group will acquire eleven retail properties, including six major regional shopping centers, in the Czech Republic, Hungary, Poland and Romania.

Dentons advised CPI Property Group on the acquisition of a portfolio of 11 retail properties from CBRE Global Investors. The completion of the transaction is expected, pending regulatory approvals in the Czech Republic and Hungary.
