TLT acts on Novoferm expansion in the UK

TLT has helped German-headquartered Novoferm Europe Limited expand its operations with the acquisition of UK-based Bolton Gate Services Limited.
Novoferm – the European subsidiary of Tokyo-listed Sanwa Shutter Corporation and one of Europe's largest suppliers of entrance solutions – has acquired 100% of Bolton Gate Services – a leading provider of 24/7 door and shutter maintenance and repair services across the UK.

Clifford Chance advises Frasers on acquisition of Hermes logistics facilities package from ECE for EUR 257 million

Clifford Chance has advised Frasers Property Investments Europe on the acquisition of a logistics facilities package for EUR 257 million. The package comprises six Hermes logistics centres with rental space totalling around 75,500 square metres on a site of about 426,500 square metres. It was sold by German real estate investor ECE Projektmanagement GmbH & Co. KG.

CMS advises RDI REIT P.L.C. on £161m portfolio acquisition

International law firm CMS has advised London Stock Exchange listed RDI REIT P.L.C. (RDI) on its acquisition of an 80% interest in a portfolio of flexible offices in Central London worth in excess of £161m, from sellers Forum Partners, the Kailong Group and Office Space in Town Limited (OSIT). The portfolio was previously held by two companies based in the Isle of Man.

Swire Properties - first green bond issue - issue of US$500 million 3.50% Guaranteed Notes by Swire Properties MTN Financing

Slaughter and May, Hong Kong, advised Swire Properties Limited on the first green bond issue by its wholly-owned subsidiary, Swire Properties MTN Financing Limited, of US$500 million 3.50% Guaranteed Notes due 2028. The Notes were issued under Swire Properties' US$4 billion Medium Term Note Programme. The Notes are guaranteed by Swire Properties Limited and are listed on the Hong Kong Stock Exchange.

Shoosmiths advises on management buy-out of renowned £70m-a-year services group

National law firm Shoosmiths has advised on the management buy-out (MBO) of The Quarr Group, a leading provider of building maintenance and construction, contract cleaning and contract catering.

The Quarr Group has been acquired by its management team, who included Brian Warren, Nelson Williams and Simon Ingram; the Managing Directors of the Quarr Group's subsidiaries: Nviro, Pabulum and Mountjoy, respectively.

Dentons advises CR and Värde Partners on the sale of six retail parks to REWE Group

Global law firm Dentons has advised investment management firms CR Holding GmbH and Värde Partners on the successful sale of six retail parks to Cologne-based REWE Group. The retail parks are part of the Saturn-Portfolio and are located in the western and southern part of Germany. Through this transaction, leading German food retailer REWE Group plans to increase its rate of store ownership.

Apex Acquires Warburg’s Asset Management and Servicing Business in Luxembourg

Willkie represents Apex, a Genstar portfolio company, on this acquisition, which will add $50 billion in assets under administration and custody for the fund administrator.

On January 8, Apex Group Ltd., Genstar Capital and SALU Capital announced Apex's acquisition of Warburg’s Asset Management and Servicing business in Luxembourg. Upon completion of the transaction, Apex, a Genstar portfolio company, will have nearly $350 billion of AuA. Apex and Genstar partnered with SALU Capital on this transaction.

Ashurst advises DBAG on acquisition and financing of Sjolund

Ashurst advised Deutsche Beteiligungs AG (DBAG) comprehensively on the acquisition and financing of a participation in Sjølund A/S (Sjølund), a leading manufacturer of aluminium and steel components. As part of a management buy-out, DBAG ECF, a fund managed by DBAG, will acquire around 51 percent of the shares in Sjølund from previous sole owner and CEO Søren Ravn Jensen. The remaining 49 percent of the shares will in future be held by Søren Ravn Jensen, who will continue to serve as CEO of the company, and other members of the management.
