Latham & Watkins Advises Eurona Wireless Telecom on Complex Financial and Corporate Restructuring

Latham & Watkins has advised Eurona Wireless Telecom, S.A. (EWT) on the restructuring of its debt and the modification of the group’s capital and corporate structure. The transaction includes an injection of liquidity, the refinancing of existing debt, and a corporate reorganization involving the introduction of a double-Luxco structure and the creation of a new perimeter below the EWT group. Under the reorganization, EWT’s satellite, Wifi, and Fixed Wireless businesses have been transferred to a newly created company, Global Satellite Technologies, S.L.

Shakespeare Martineau LLP has advised Crossword Cybersecurity on their recent PS13.6m AIM float.

Crossword Cybersecurity, the technology and consulting company focusing on the cyber security sector, has floated on the AIM market in London a market capitalisation of approximately PS13.6 million, following a successful placing and subscription of approximately PS2.0 million before expenses.

Orrick Advises New “Unicorn” Graphcore on $200 Million Series D Round

Orrick has advised leading AI chipmaker Graphcore in its $200 million Series D funding round, bringing its post-money valuation to $1.7 billion. The latest company in Europe to achieve “unicorn” status (a valuation over $1 billion), UK-based Graphcore has built a completely new kind of processor and software for AI and machine intelligence.

The round was led by existing investor Atomico and new investor Sofina. BMW iVentures, Microsoft and Merian Global Investors also joined the round as new investors.

The global marketing and communications network acquires the majority of shares of Videobeat Networks GmbH and all shares of the Namics Group

Frankfurt—Global law firm Dentons advised Dentsu Aegis Network Group on the acquisition of a majority stake in Videobeat Networks GmbH. In addition, Dentons advised on German aspects of the acquisition of the Namics Group, based in Switzerland. Both transactions are still subject to approval by the antitrust agencies. The parties have agreed not to disclose the purchase price.

MoFo Advises Oriente on US$105 Million Initial Funding

Morrison & Foerster recently advised Hong Kong-based financial services and technology company Oriente on a US$105 million initial funding round with investments from a group of family offices including members of Malaysia’s Berjaya Group, the Philippines’  JG Summit Holdings, Inc., and Indonesia’s Sinar Mas. The deal is reported to be one of the largest initial funding rounds by any startup in Asia, and also for a fintech company worldwide.

Xinja is a digital-only ‘neobank’ that aims to provide banking services in an innovative and technologically-driven way. Gilbert + Tobin supported Xinja in securing its restricted authorised deposit-taking institution (ADI) licence, which allows Xinja to conduct limited banking services in Australia with the ultimate goal of becoming an ADI.

Norton Rose Fulbright advises Avoka on A$339m acquisition by Temenos

Global law firm Norton Rose Fulbright has advised Australian-founded Avoka, a leader in digital customer acquisition and on boarding, on its acquisition by Swiss Exchange listed banking software company Temenos AG.

The A$339m (US$245m) acquisition will see the Avoka platform, Avoka Transact, integrated with Temenos’ Digital Front Office product, and will provide Avoka with the resources and scope to further develop on the world stage.

KWM advises Temenos on acquisition of Australian-founded customer on-boarding platform, Avoka Technologies

King & Wood Mallesons (KWM) has advised Swiss-listed banking software company Temenos AG (SIX:TEMN) on their acquisition of US-headquarted Avoka.

Avoka, the provider of a digital customer acquisition and on-boarding platform, will be integrated into Temonos’ Digital Front Office Product, strengthening its omni-channel digital banking offering.

The transaction will be funded by a combination of cash and debt and is worth USD245 million.
