Hengeler Mueller advises Axel Springer SE on acquisition of Business Insider

Axel Springer SE announced a binding agreement to purchase additional approximately 88 percent of the shares in US-based business- and news portal Business Insider for a purchase price of USD 343 million (currently approximately €306 million). Axel Springer already holds a stake of approximately nine percent in the company and, after this purchase, will hold a stake of approximately 97 percent.

Ringier and Axel Springer form new joint venture

The two media groups Ringier and Axel Springer create a further joint-venture in which each will hold an equal stake. Ringier will contribute all its magazine publications in German-speaking and French-speaking Switzerland, along with their online offerings and Le Temps, the quality daily newspaper published in French-speaking Switzerland, and Axel Springer Switzerland will contribute all of its Swiss business to the new company. The following titles will be among others encompassed within the portfolio of the planned new joint venture.

Castrén & Snellman successfully represented Google Ireland Ltd in a dispute concerning the interpretation of Google’s AdSense program terms of use. All claims made by the claimants against our client Google were dismissed in their entirety by the District Court of Helsinki. The judgement is not final.

The C&S team was led by Sakari Salonen, and the litigation team also included Kim Parviainen from our IP practice.

ADVA: Acquisition of Time4 Systems Oy

Castren & Snellman assisted the German ADVA Optical Networking SE, which is listed on the Frankfurt Stock Exchange, in its acquisition of the entire share capital of Time4 Systems Oy. Time4 Systems Oy provides innovative network synchronisation solutions, especially in relation to TDD (Time Division Duplex) technologies.

ADVA, a provider of innovative connectivity solutions to clients in the telecommunications industry, posted revenues of EUR 339 million in 2014 and employed nearly 1,500 people globally.

WerbeWeischer Switzerland acquires Publicitas Cinecom AG from Publicitas AG. As a result of this transaction WerbeWeischer becomes market leader in cinema advertisement in Switzerland and further invests in the expansion of the advertising medium cinema.
