GvW Graf von Westphalen has advised Global Graphics SE on the acquisition of Hamburg based (URW)++ Design & Development GmbH (“URW”).  Global Graphics SE, a UK company listed on Euronext, is a leading developer of software platforms on which its partners create solutions for digital printing, digital document and PDF applications. Customers include HP, Corel, Quark, Kodak and Agfa. In addition to its head office near Cambridge (United Kingdom), Global Graphics also has offices near Boston (Massachusetts/USA) and Tokyo.

Mayer Brown advises Interoute on the acquisition of Easynet

Mayer Brown has advised Interoute, owner-operator of one of Europe's largest networks and a global cloud services platform, on the acquisition of European managed services provider, Easynet. The transaction places an enterprise value of £402 million on Easynet.

The combined company will expand its networked cloud and communications services to national and multinational enterprises worldwide, enabling customers to access a fuller suite of products, services and skill sets.

Hengeler Mueller advises Tele Columbus on acquisition of pepcom and on planned capital increase

Tele Columbus AG (“Tele Columbus”), the third largest German cable network operator, today entered into an agreement to acquire pepcom GmbH (“pepcom”), the fourth largest German cable network operator, from Lead Luxembourg 2 S.à r.l. The purchase price amounts to €608m on a cash and debt free basis (enterprise value). The purchase price payable after taking into consideration net debt, debt-like items and the 30% minority participation in KMS Kabelfernsehen München ServiCenter GmbH & Co amounts to approximately €505m (equity value).

Charles Russell Speechlys has advised the Civica Group (an investee company of OMERS Private Equity) on its acquisition of Web Technologies Group (WTG), the software consultancy and services group.

Based in London, WTG specialises in planning, building and managing complex, secure web applications and digital services for government and other public sector clients. Customers include the Home Office, Ministry of Justice, Department of Health, Foreign and Commonwealth Office, Government Digital Service, the College of Policing and the National Crime Agency.

Cloud-computing group Interoute acquires Easynet

A Travers Smith team led by private equity partner James Renahan has advised all selling shareholders, including longstanding client Equistone Partners Europe, on the sale of Easynet, a European managed services provider, to cloud-computing group Interoute Communications Limited. The transaction, which is subject to limited customary closing conditions, values Easynet at £402 million.

Clifford Chance has advised NTT DATA Corporation, (NTT DATA) on its acquisition of iPay 88 Sdn. Bhd, a company chiefly involved in the online payment service and payment solution provider in Malaysia, through its subsidiary NTT DATA Asia Pacific Pte. Ltd. This transaction aims to combine NTT DATA’s solutions and know-how in the payment field. The collaboration will accelerate the further expansion of NTT DATA's payment business in Malaysia and in Asia Pacific.

Milbank Advises Zegona on Equity Raise and Debt Financing for the Acquisition of Telecable

Milbank, Tweed, Hadley & McCloy LLP has advised Zegona Communications plc on the equity raise and debt financing for the acquisition of Spanish cable operator Telecable from Carlyle Group and Liberbank SA.  Zegona Communications plc was set up by the former Virgin Media executives Eamonn O'Hare and Robert Samuelson.

The acquisition was funded with a combination of £251 million (US$389.8 million) of new equity, backed by institutional investors, funds from Zegona's recent float and a new senior secured debt facility arranged by Goldman Sachs.
