Darrois Villey Maillot Brochier advises Vivendi on the acquisition of 14.9% of Telecom Italia

Darrois Villey Maillot Brochier advised Vivendi on the acquisition of a stake of 14.9% in Telecom Italia, the leading fixed and mobile telecommunications operator in Italy, for an amount of approximately €2.3 billion.

Vivendi received 1.11 billion ordinary shares (or 8.24%) of Telecom Italia, in exchange for 4.5% of the share capital of Telefonica Brasil, in accordance with the option given to it as part of the sale of GVT to Telefonica, which closed on May 28, 2015.

Bird & Bird represents Nets in acquisition of shares in Signaturgruppen

Nets A/S has acquired a majority share in the Danish tech company, Signaturgruppen A/S. The transaction was duly closed on 2 July 2015. Bird & Bird acted as legal counsel for Nets A/S through the transaction.

The Nordic provider of payment, card and information systems, Nets A/S, has once again expanded their strong position on the Nordic market. Nets A/S has acquired a majority share and thereby a controlling position in the Danish technology company, Signaturgruppen A/S. The agreement gives Nets A/S an option to acquire the rest of the shares in the company.

KWM advises on Baozun listing on NASDAQ

King & Wood Mallesons (“KWM”) advised the underwriters on the listing of Baozun Inc. (“Baozun”) on NASDAQ (stock code: BZUN). Continuing an emerging trend of Chinese technology companies taking their businesses public, the Shanghai-based Baozun issued 11,000,000 American Depositary Shares ("ADSs") priced at USD $10 per share. In this project, Baozun has granted the underwriters a maximum of 1.65 million ADSs with an overallotment option. The financing amount will reach USD $126.5 million if the underwriters exercise the overallotment option.

BLP advises Playtech on Ava acquisition and €200m debt facility

Berwin Leighton Paisner (BLP), is advising the FTSE250 listed Playtech group (Playtech) on its proposed $105m acquisition of Ava Trade (Ava), an online B2C CFDs broker with financial services regulatory licences in the EU (Ireland), Japan, Australia and the BVI. This follows on from Playtech’s acquisition of TradeFX earlier this year and its proposed acquisition of AIM quoted Plus500 on which BLP is also advising.

GvW Graf von Westphalen advises French Legrand group on cross-border acquisition of IME group

The stock-listed Legrand group with its headquarters in Limoges (France) has acquired the internationally operating IME group. Amongst others, the complex cross-border transaction included a parallel transfer of shares in Germany, Italy and France. The parties have agreed not to disclose the financial details of the transaction.

Nabarro advises Phoenix IT on takeover offer delivering £135m valuation

Nabarro has advised long-standing client, Phoenix IT Group, on a recommended offer by Daisy Intermediate Holdings and funds managed by Toscafund. The offer values Phoenix's share capital at approximately £135m.

Phoenix is an IT software and solutions company providing business continuity and other services to a broad range of customers. Daisy is a competitor to Phoenix which was taken private in 2014 by a consortium comprising Toscafund, Penta Capital and Matthew Riley.

Nabarro advises Ten Alps on acquisition of Reef Television

Nabarro has advised new client, multimedia producer Ten Alps plc, which was founded by Bob Geldof, on its recent acquisition of Reef Television Ltd (which constituted a reverse takeover) for a total consideration of approximately £5m with an associated £4.5m fundraise. The consideration for the acquisition has been structured as an initial £2m payment with deferred consideration payable in cash and shares over the course of three years.

Stephenson Harwood advises Singapore Technologies Telemedia on joint venture with Brockton Capital

Stephenson Harwood LLP has advised Singapore Technologies Telemedia Pte Ltd (ST Telemedia), a Singapore-based global investor, on a strategic investment in Virtus Data Centres, the UK's fastest growing data centre provider.

Under the partnership ST Telemedia, through its wholly owned subsidiary, STT GDC Pte. Ltd, will make a significant investment into Virtus, committing to a 49% stake via a joint venture with Virtus's existing owner Brockton Capital. The new investment from ST Telemedia will be used to fund Virtus's continued growth and footprint expansion in the UK.
