Clifford Chance advises Deutsche Telekom on their sale with Orange of mobile Joint Venture EE to BT for GBP 12.5 billion

Clifford Chance has advised Deutsche Telekom AG which, along with Orange S.A, has reached an agreement with the British telecommunications operator BT Group plc. on the sale of their UK joint venture EE. Upon closing of the transaction, Deutsche Telekom will become the largest shareholder in BT with a stake of 12 percent.

WEKA Business Media acquires an 80 per cent stake in LWO Lernwerkstatt Olten, a Switzerland-based professional training course services provider.

In-house counsel privilege upheld by Belgian Court of Cassation

In a judgment dated 5 March 2013, the Brussels Court of Appeal held that legal advice provided by in-house counsel (members of the Belgian Institute for in-house counsel, "Instituut voor bedrijfsjuristen"/"Institut des juristes d'entreprise") is confidential. The judgment was delivered in the context of a dawn raid that was carried out by the Belgian Competition Authority at the premises of Belgacom.

The insolvency administrator Stephan Ammann of PLUTA Rechtsanwalts GmbH has sold CinePostproduction GmbH. The assets were acquired by MTI Teleport München GmbH, based in Unterföhring near Munich. The buyer has taken over the business units eDelivery to cinemas, Digital Cinema Package (DCP), the film warehouse including film restoration and parts of the post production.

IPO of Sunrise Communications Group on the SIX Swiss Exchange

Sunrise has announced the launch of its initial public offering on the SIX Swiss Exchange with the publication of the offering memorandum and the start of the bookbuilding process. Sunrise, headquartered in Switzerland, is the second largest integrated telecommunications provider in Switzerland, based on revenues, and the leading alternative operator in both the mobile and landline retail voice markets, with approximately 2.5 million mobile and 0.4 million landline customers. Since February 6, 2015, the shares of Sunrise are listed and traded on the SIX Swiss Exchange.

Ashurst advises Xchanging plc on the acquisition of Spend Analytics Company Spikes Cavell

Ashurst advised Xchanging plc, the business process, procurement and technology services provider, on its 100% acquisition of the spend analytics company Spikes Cavell Analytic Ltd ("SCAL") on a cash free, debt free basis.

The acquisition is subject to certain customary closing conditions and is expected to complete by the end of March 2015.

Shoosmiths advises Milton Keynes business on key strategic transaction with E.ON

Shoosmiths has advised Milton Keynes based Intelligent Maintenance Systems Limited (IMS) on a key strategic transaction with E.ON Connecting Energies Limited (ECT) which has seen the energy company take a 25% stake in the company.

Corporate partner Sanjeev Sharma led the Shoosmiths team with assistance from Iain Butler (senior associate), Claire Checketts (associate), Aleksandr Bosch (trainee solicitor) and James Grinstead (paralegal). The Shoosmiths' commercial team led by Sebastian Price and tax lawyers Tom Wilde and Jamie Chambers also advised on the transaction.

Deacons advises on first ETF to invest in the internet in Hong Kong

Deacons recently advised CSOP on obtaining SFC authorisation and the subsequent listing on the Hong Kong Stock Exchange of the MSCI T50 ETF.

The MSCI T50 ETF tracks the MSCI China and USA Internet Top 50 Equal Weighted Index, which is designed to reflect the performance of the 50 largest internet software and service providers and internet retail entities selected by full market capitalisation and listed on the Hong Kong and US Stock Exchanges.

The product listed on the Hong Kong Stock Exchange on January 28th 2015.

Osborne Clarke advises Next 15

Osborne Clarke has advised AIM quoted digital communications group, Next 15, on its institutional placing to raise £4.5m.

The net proceeds of the placing, which was arranged by Investec, will be used by Next 15 principally to finance its digital expansion strategy in the UK and the US.

The Osborne Clarke team was led by corporate finance partner Jonathan King, assisted by Senior Associate Samantha Myers.
