Heuking Kühn Lüer Wojtek advises Syntela GmbH founders on sale of shares as part of the successfully arranging ownership succession

With a team led by Hamburg-based partner Dr. Jörg Schewe, the commercial law firm of Heuking Kühn Lüer Wojtek advised the founders and sole shareholders of Syntela IT-Dienstleistungs GmbH (Syntela), Thomas Metzger and Rando Trapp, on the sale of shares to Hamburg Caldec Holding GmbH. The shares were sold in the context of a structured search for a suitable strategic shareholder partner. The parties agreed not to disclose the purchase price.
 

Stampen Media Partner divests Appelberg to Mediaplanet

Stampen Media Partner AB, a company within the Stampen Media Group, has divested its communications agency Appelberg Group Publishing AB to Media Planet International AB.

Appelberg is one of Sweden's leading channel independent providers of content marketing. The company was founded 25 years ago and has approximately 55 employees. Appelberg will continue to operate independently under its own brand after the transfer.

Travers Smith advises Pinewood on the acquisition of 50% joint venture interest in Shepperton Studios

Travers Smith LLP has advised Pinewood Shepperton (Pinewood), Europe's largest provider of stage and studio space, on the acquisition of the 50% interest in the Shepperton Studios Property Partnership, formerly owned by clients of Aviva Investors. As a result, Pinewood has become the sole owner of the Shepperton Studios.

Clifford Chance advises Hearst Corporation on US $2 billion purchase of additional stake in Fitch Group

Clifford Chance is advising Hearst Corporation on its recently-announced agreement to purchase a 30 percent equity stake in Fitch Group, the global ratings agency.  The purchase price for the stake is US $1.965 billion, subject to certain adjustments. The transaction, which is expected to close in the first quarter of 2015, will increase Hearst's ownership interest in Fitch to 80 percent.

Optus agreement with NBN Co on HFC network

Optus has announced it has reached agreement with NBN Co on the future of its Hybrid Fibre Coaxial (HFC) network to enable the accelerated roll-out of Australia’s National Broadband Network (NBN).

Under the terms of the agreement, Optus will progressively transfer ownership of its coaxial cable and ancillary assets to NBN Co, while retaining ownership of strategic aerial fibre assets used to connect mobile base stations and business customers.

On 9th December 2016 The Federal Labour Court (Germany) deemed a regulation from a redundancy scheme of Cassidian Communications GmbH, according to which employees leaving the company do not get compensation if they can draw pension benefits immediately after the notice period expires, to be permissible.

AllBright Advises Swiss Client on Joint-venture Establishment

AllBright partner Philip Zhang and associate Zeng Lei advised Swiss company Rolic AG in setting up a joint venture in Shanghai’s Qingpu District, including designing the deal structure, and drafting and negotiating joint investment contracts as well as the corporate charter and appendix documents between the joint venture and its investors. The JV was recently formally established.

Milbank Advises Axel Springer on Increase of Share in Digital Classifieds Business

Milbank, Tweed, Hadley & McCloy LLP has advised Axel Springer on the increase of its share in Axel Springer Digital Classifieds GmbH from 70 percent to 85 percent. Axel Springer and global growth investor General Atlantic have reached a binding agreement on increasing Axel Springer’s share against payment of a purchase price in cash of EUR 446 million and a purchase option for Axel Springer for the remaining percent. In the event of exercising options, General Atlantik would receive Axel Springer shares.
