Simpson Thacher Represents Underwriters in Senior Convertible Notes Offering by Web.com Group, Inc.

The Firm recently represented Wells Fargo Securities, LLC and Deutsche Bank Securities Inc., as underwriters, in connection with a public offering by Web.com Group, Inc. ("Web.com") of $258,750,000 aggregate principal amount of its 1.00% Senior Convertible Notes due 2018. The offering closed on August 14, 2013.

Web.com is a provider of a full line of internet services for small businesses and is a global domain name registrar.

Baidu, Inc. $1 Billion Notes Offering

Davis Polk advised J.P. Morgan Securities LLC and Goldman Sachs (Asia) L.L.C. as joint bookrunners and representatives of the underwriters on an SEC-registered offering by Baidu, Inc. of $1 billion aggregate principal amount of its 3.25% notes due 2018.

Baidu is the leading Chinese-language Internet search provider. Baidu’s ADSs currently trade on the NASDAQ Global Select Market.

Vantiv, Inc. $510 Million Secondary Offering

Davis Polk advised J.P. Morgan Securities LLC as underwriter in connection with a $510 million SEC-registered secondary offering of 20,000,000 shares of Vantiv, Inc.’s Class A common stock by Fifth Third Bank and certain funds managed by Advent International Corporation. The Class A common stock is listed on the New York Stock Exchange under the symbol “VNTV.”

Based in Cincinnati, Ohio, Vantiv is a leading, integrated payment processor differentiated by a single, proprietary technology platform.

Shearman & Sterling Advises Vector Capital on Sale of Teletrac, Inc.

Shearman & Sterling advised Vector Capital and Teletrac, Inc. on the sale of Teletrac, Inc., a leading GPS tracking and fleet management software company, to Danaher Corporation. The financial terms of the transaction were not disclosed.
Teletrac provides advanced GPS asset location, diagnostics, fuel efficiency, safety, compliance, scorecarding and business intelligence in a single powerful web interface.

McDermott Represents ADT Corporation in Acquisition of Devcon Security

International law firm McDermott Will & Emery represented ADT Corporation (“ADT”) (NYSE: ADT), in its acquisition of Devcon Security based in Hollywood, Florida, from private equity firm Golden Gate Capital for total consideration of $148.5 million.

This is the first significant acquisition by ADT since it became a public company last year.

Clifford Chance Advising Informa on the Sale of its Corporate Training Businesses to Providence Equity Partners

Clifford Chance is advising Informa plc, a leading academic publishing, business information and events group, in connection with the sale of its five corporate training businesses to an affiliate of Providence Equity Partners for total consideration of up to $180 million. Subject to certain adjustments, Informa will receive $100 million in cash and a $65 million loan note at closing, as well as an additional payment of up to $15 million in 2014 if the businesses achieve a certain level of revenue in 2013. The transaction is expected to close in the third calendar quarter of this year.

The Washington Post Company's Sale of Newspaper Publishing Business to Jeffrey P. Bezos

On August 5, 2013, The Washington Post Company announced that it has signed a contract to sell its newspaper publishing businesses, including The Washington Post newspaper, to Jeffrey P. Bezos for US$250 million, subject to normal working capital adjustments. Cravath represented The Washington Post Company in connection with this transaction, which is expected to close later this year.

The Cravath team included partner Eric L. Schiele and associate Ting S. Chen on corporate matters and partner Jennifer S. Conway on executive compensation and benefits matters.
