Monaco Telecom to acquire MTN Cyprus

London – Paul Hastings LLP, a leading global law firm, announced today that it is advising Monaco Telecom on its agreement with MTN to acquire the entire issued share capital of MTN Cyprus for net sale proceeds of €260 million.  MTN Cyprus is the fastest growing mobile and fixed operator in Cyprus with more than 400,000 customers and 2017 revenues of €123 million.

CMS advises Bechtle AG on planned acquisition of Inmac Wstore in France

Frankfurt – German IT group Bechtle intends to acquire French IT provider Inmac Wstore S.A.S, which has 400 employees and sales of EUR 420 million. The acquisition is currently awaiting approval from the French authorities. A hearing of the employee representatives at Inmac Wstore is also required. For Bechtle AG, this would be the biggest acquisition in its history.

In India, Ropes & Gray Advises Google on Abuse of Dominance Win

Following a four year abuse of dominance investigation, the Competition Commission of India has today announced that Google did not infringe applicable competition laws in terminating certain remote technology companies.

Ropes & Gray acted as international counsel to Google. The Ropes & Gray team was led by antitrust partner Ruchit Patel in London, assisted by antitrust counsel Chris Rowan, based in Washington DC, and antitrust associate Rupert Phillips, based in London.

CMS is advising Solid Brain sp. z o.o. and its shareholders on the sale of a majority stake of shares to IT Kontrakt sp. z o.o., a company belonging to the portfolio of the funds Oaktree Capital Management and Cornerstone Partners.

Krakow-based Solid Brain provides outsourced specialised teams of software engineers and specialists in the design, management and development of software for large international companies.

On 3 July 2018, King & Wood Mallesons advised CMC Inc. (formerly named CMC Holdings) on the closing of its approximately RMB10 billion series A round financing. The completion in the latest round of the financing gives CMC Inc. a valuation of nearly RMB40 billion. The financing was led by a new investor China Vanke Co., Ltd. and two founding investors – Alibaba Group and Tencent Holdings Limited. Other investors included CMB International Capital Corporation Limited and a number of international financial institutions.

DLA Piper advises Globant S.A. in US$347.8 million follow-on public offering

Osborne Clarke advises Conduent on agreement to sell off-street parking business

International legal practice Osborne Clarke has advised the world’s largest provider of diversified business services, Conduent Incorporated (Conduent), on the sale of its off-street parking business, including the Conduent Multipark System in France and the UK, along with its US airport parking business, to French investor Andera Partners.

The sale is part of Conduent group’s planned program of divestment of non-core assets to enable Conduent to focus on serving large enterprise customers and scalable business relationships.

Simpson Thacher is representing Twenty-First Century Fox, Inc. in connection with an amendment to its committed bridge facilities to increase the aggregate principal amount of the facilities to £15.325 billion to finance its increased offer for the acquisition of Sky plc, the U.K.-based media company. Goldman Sachs Bank USA, Goldman Sachs Lending Partners LLC, Deutsche Bank AG Cayman Islands Branch and JPMorgan Chase Bank, N.A., London Branch have committed to provide the bridge facilities.
