MinterEllison advises CommsChoice Group on IPO & ASX listing

MinterEllison has advised CommsChoice Group on its IPO and ASX listing, which raised $A7.5 million, on a market capitalisation on listing of $A26 million.

MinterEllison has advised CommsChoice Group Limited (ASX: CCG) on its acquisition of five complimentary information and communications technology (ICT) service providers, its initial public offering (IPO) and ASX listing.

The new publicly-listed ICT services player successfully raised $A7.5 million under the offer and a market capitalisation on listing of approximately $A26 million (based on the offer price).

CMS advises technology client what3words on investment and collaboration with Daimler

International law firm CMS has advised technology client, what3words, on the successful investment of a significant stake in the company by German carmaker, Daimler.

what3words is an innovator in addressing technology, providing a system which assigns a three-word address to every 3mx3m square on the planet. Daimler have previously worked closely with what3words in integrating the technology with Mercedes’ satellite navigation systems, allowing drivers to navigate to any destination using a unique, three-word combination.

CMS advises Cocomore AG on sale of Kairion to ProSiebenSat.1

Cologne – Marketing and IT agency Cocomore AG has sold its e-commerce subsidiary Kairion to the ProSiebenSat.1 media group.

A CMS team headed by Dr Richard Mayer-Uellner advised Cocomore on the legal aspects of the transaction.

Kairion will become part of Advertising Platform Solutions, which brings together all of ProSiebenSat.1’s ad-tech activities. The transaction has already been completed. The purchase price was not disclosed.

BSO-Networks acquires American operator Apsara Networks

Baker McKenzie has advised the Franco-Irish telecom operator, BSO Networks, in the context of its acquisition of Apsara Networks, an American operator specialising in ultra-low latency telecommunications. This type of telecommunication is used by the main American financial centres (NYSE, NASDAQ and CBOT) for high-frequency trading.
 
By integrating Apsara’s wireless technology into its fibre-optics network, BSO consolidates its position as one of the leading operators used by traders. 

T-Mobile Netherlands and Tele2 Netherlands join forces

Clifford Chance advises Tele2 Group on the merger of its Dutch business with Deutsche Telekom's Dutch business

Clifford Chance advised Tele2 on its agreement with Deutsche Telekom to combine Tele2 Netherlands and T-Mobile Netherlands. Tele2 will hold a 25% share in the combined company and receive a cash payment of EUR 190 million upon closing. Based on current numbers, the company will have around 5 million mobile pre- and post-paid customers, combined revenues of around EUR 2 billion. The establishment of the combined company is subject to regulatory approval by the relevant competition authorities. The transaction is therefore expected to close in the second half of 2018.

Ashurst advised PT Trans Media Corpora as borrower in connection with a financing transaction. PT Trans Media Corpora owns leading television, cable and online networks including Trans TV, Trans 7, Trans Vision, Detik and CNN Indonesia.  The Borrower is a part of the PT CT Corpora group.

Davis Polk Advises SS&C Technologies on Its Acquisition of DST Systems

Davis Polk is advising SS&C Technologies Holdings, Inc. on its approximately $5.4 billion acquisition of DST Systems, Inc. The transaction, which is expected to close by the third quarter of 2018, is subject to DST’s stockholder approval, clearances by the relevant regulatory authorities and other customary closing conditions.
