iDreamSky Settles Securities Class Action

Skadden secured a favorable settlement for China-based iDreamSky Technologies Limited in a putative class action arising from its $116 million initial public offering of American depository shares. The plaintiffs filed several lawsuits in state and federal court, alleging that the defendants misled investors about the anticipated timing of a new mobile game release. Skadden successfully consolidated the lawsuits before Judge J. Paul Oetken of the U.S.

Tencent Invests in Vipshop

Paul, Weiss advised Chinese internet giant Tencent in its US$604 million investment in Vipshop Holdings Ltd, a major Chinese online discount apparel retailer. Under the terms of the agreement, Tencent and JD.com Inc,, China’s largest e-commerce firm, will invest an aggregate US$863 million cash into Vipshop and will grant Vipshop access to Tencent’s digital wallet platform and JD.com’s mobile application.  Tencent and JD.com will subscribe for newly issued Class A ordinary shares of Vipshop.

International legal pratice Osborne Clarke has advised the Hamburg-based VAT start-up Taxdoo  on a seed financing from (High-Tech Gründerfonds) HTGF.

Taxdoo has devised a system that automatically collects data from marketplaces, online shops and ERP systems and processes it in line with international VAT regulations. This information is then submitted to the respective financial authorities through an international network of VAT experts. The data can then be transferred seamlessly into financial accounting systems.

Paul Hastings Advises as Xavier Niel-led Consortium Acquires Ireland’s eir

Paul Hastings LLP, a leading global law firm, announced today that it is advising a consortium led by NJJ Telecom Europe (“NJJ”) on the acquisition of a majority of eir, the Irish telecommunications and broadband business. eir had revenue of €1.32 billion, and earnings before interest, taxation, depreciation and amortization of €520 million, in the financial year to June 30, 2017. The deal is subject to regulatory approval and is expected to close in the second quarter of 2018.

In the latest of a series of Lloyd's and London market broker deals, the RPC team has advised Citynet, the Lloyd's of London broker, and the selling shareholders, on the deal announced in December with Carlyle-backed PIB Group.

The RPC team was led by James Mee, Head of Corporate Insurance and Financial Services, and David Wallis, Partner in the private equity team specialising in financial services transactions.
